Team Overview
The Legal, Risk & Compliance (LRC) team is a close-knit group focused on protecting Airwallex's operations, fostering compliance and ethical behavior, and ensuring navigation through the global financial environment with integrity. We provide guidance across the business to identify and mitigate legal and financial risks proactively.
Role Summary
The Corporate Secretary is instrumental in governance, supporting the board and senior leaders, and ensuringexcellent corporate governance and compliance across global operations. Managing corporate secretarial functions for licensed entities in multiple jurisdictions is central to this role. Location options include Australia or Singapore.
Key Responsibilities
- Manage comprehensive company secretarial duties for licensed entities across regions
- Organize and facilitate board, committee, and shareholder meetings, preparing agendas, resolutions, minutes, and presentations
- Maintain statutory registers and ensure compliance with filing requirements
- Handle corporate affairs including incorporations, restructurings, capital allocations, dissolutions, and audit support
- Ensure timely and accurate regulatory submissions
- Lead cross-jurisdictional company secretarial functions and coordinate external service providers
- Support audits and due diligence for financing, mergers, acquisitions, and regulatory matters
- Liaise effectively with directors, investors, regulators, and internal teams
- Contribute to best practice implementation in data protection, cybersecurity, and technology risk management
Minimum Qualifications
- 5 to 10 years of relevant professional experience
- Proven experience supporting boards and senior management within regional or global corporate structures
- Expertise in managing multi-jurisdictional entities and complex corporate groups
- Experience in establishing and maintaining board and committee processes, corporate records, and entity management tools
- Strong communication and interpersonal skills for engagement with boards, investors, regulators, and internal teams
- High attention to detail with respect to board documentation and disclosures
- Demonstrated integrity, discretion, and sound judgment
- Ability to excel in a fast-moving, expanding global environment
- Proactive, hands-on, and oriented toward pragmatic solutions
Preferred Qualifications
- Background in regulated financial or fintech sectors
- Chartered Secretary certification
