Role Overview
The position of Board Committee Secretary & Governance Specialist entails offering comprehensive administrative and logistical support to the Board of Directors, its Committees, and the Group Executive Management team. This pivotal role facilitates the smooth functioning of the governance framework, enabling the Board to concentrate on strategic decision-making and oversight. The role involves managing the organization, coordination, and documentation of all board and committee activities to promote effective corporate governance and ensure compliance across the Albawani group.
Key Duties and Responsibilities
- Serve as the primary liaison and contact for the Board of Directors to deliver extensive administrative assistance.
- Coordinate the logistics of Board and committee meetings, including scheduling, agenda preparation, material compilation and distribution, minute-taking, and dissemination.
- Guarantee prompt and accurate distribution of meeting documents to members.
- Collaborate with internal and external parties to gather necessary information for meetings.
- Maintain and manage the Board and committee meeting calendar, accommodating changes and special meetings.
- Keep detailed records of meetings, including attendance, resolutions, and action items.
- Oversee onboarding for new Board members via orientation, introductions, and governance training.
- Facilitate ongoing educational sessions for Board members on governance topics and industry best practices.
- Function as the main point of contact for Board member inquiries and support.
- Maintain a repository of Board member information such as bios, skills, and committee roles.
- Support development and enforcement of governance policies, procedures, and best practices group-wide.
- Monitor adherence to regulatory standards, the Articles of Association, and Board Terms of Reference.
- Maintain organized archival of governance documents, policies, charters, minutes, resolutions, and other materials.
- Assist in preparation of governance reports and presentations for leadership and stakeholders.
Qualifications and Requirements
- Bachelor's degree in Law or governance-related field or board-related diploma.
- Substantial experience in board secretarial, corporate secretarial, or governance support roles.
- Strong knowledge of corporate governance principles, frameworks, and industry best practices.
- Outstanding organizational, administrative, and project management capabilities.
- Experienced in managing logistics for Board and committee meetings.
- Excellent communication and interpersonal skills enabling effective collaboration with diverse stakeholders.
- Meticulous attention to detail with a strong commitment to accuracy and confidentiality.
- Professional certifications such as Certified Corporate Governance Professional or Certified Administrative Professional are advantageous.
- Proficiency in governance software and tools, including board management platforms and document management systems.
- Familiarity with communication and collaboration technology like video conferencing and secure document sharing.
- Strong command of office productivity software, e.g., Microsoft Office and Google Workspace.
