Role overview
YES BANK is looking for a qualified Legal Counsel to support its corporate and wholesale banking businesses in Mumbai. The position is suited to a lawyer with an LL.B and 5 to 8 years of experience handling corporate legal work, ideally within banking or leading NBFC environments. Preference is for candidates from Tier I or Tier II law schools.
Key responsibilities
- Offer legal guidance and day-to-day support to Large Corporates, Wholesale Banking, Structured Deals, Trade Finance, and Transaction Banking product teams.
- Create and update standard agreements, contract templates, and product-specific legal guidelines, ensuring the documentation stays current.
- Oversee legal matters and manage legal exposure across the bank’s business areas.
- Support teams in structuring transactions, products, and contracts; setting up processes; negotiating terms with third parties; resolving legal issues; and recommending practical solutions within the bank’s legal and operating framework.
- Provide legal assistance to business functions and other departments such as HR, finance, and compliance whenever needed.
- Advise branches, subsidiaries, and affiliates on legal questions related to entity management, governance, corporate structure, and operations in India.
- Carry out and assist with due diligence for deals and transactions, including property-related matters and regulatory checks, while flagging risk areas and suggesting mitigation options.
- Coordinate with external counsel and prepare or review legal documents such as complaints, replies, miscellaneous applications, and affidavits for civil and criminal litigation, including debt recovery matters.
- Track regulatory and statutory developments, assess their business impact, and recommend response plans; stay updated on legal changes.
- Work with the wider legal team to define and implement legal function goals, best practices, and reporting/housekeeping improvements.
- Support the structuring, negotiation, and execution of third-party agreements for relevant legal entities in India.
- Handle local litigation and pre-litigation disputes, including supervision and management where necessary.
- Support the launch of new products or deal structures by drafting, reviewing, and negotiating contracts, agreements, and related documents.
- Assess contractual risk in credit and other agreements to safeguard the bank’s interests.
- Monitor legal developments affecting bank operations and provide timely advice where required.
- Assist the General Counsel/Corporate Legal Head in ensuring compliance with bank legal policies and, where needed, help establish local legal policies and procedures aligned with Indian legal requirements.
- Advise on core legal issues and questions of law.
- Provide transaction management and legal support across all bank business activities.
Requirements
- An LL.B degree and qualification as a lawyer are required.
- Applicants should ideally come from Tier I or Tier II law schools.
- Relevant corporate legal experience of 5 to 8 years is needed.
- Experience in banking or top-tier NBFCs is strongly preferred.

This is a full-time, onsite role based in the Mumbai Metropolitan Region. The role is focused on corporate and transactional legal support, with exposure to banking products, litigation management, regulatory tracking, due diligence, and contract negotiation.
