Role Overview and Responsibilities

As Legal Counsel, you will provide practical and prompt legal support across the organization to help achieve Serko's strategic goals and ensure compliance with governance standards for NZX and ASX listings.

  • Drafting and negotiating commercial contracts with customers, resellers, partners, and technology providers across NZ, Australia, and the US in collaboration with Sales, Product, and Commercial teams.
  • Managing secure procurement processes in conjunction with Business Leads, Security, and Technology teams to source products and services.
  • Advising on privacy and regulatory compliance involving international laws such as GDPR, CCPA, and privacy acts applicable to Australia and New Zealand, while staying abreast of relevant legislative changes.
  • Supporting corporate governance through advising on NZX and ASX compliance, assisting with Annual Shareholders Meetings, and contributing to financial, ESG, and climate-related reporting.
  • Providing guidance on share schemes including grant mechanisms, vesting, and disclosure obligations.
  • Maintaining internal policies, legal templates, and ensuring subsidiaries meet compliance requirements.
  • Enhancing legal operations by implementing technology to automate routine legal processes and reduce inefficiencies.
  • Designing and delivering legal training sessions for internal stakeholders.
  • Serving as the primary liaison for managing relationships with external legal counsel.

Candidate Profile and Qualifications

  • Experience gained in private practice or in-house legal departments, focusing on corporate law and governance.
  • Strong interpersonal, communication, and stakeholder management capabilities.
  • Proactive mindset to anticipate operational legal needs and plan accordingly.
  • Excellent analytical and problem-solving skills with keen attention to detail.
  • Possession of a Bachelor of Laws degree and a current New Zealand practising certificate.
