Overview
This opportunity is being shared on behalf of a partner organization that handles all applications and follow-up steps. The hiring company is seeking a Contracts and Legal Manager in Canada to support commercial growth by overseeing the complete lifecycle of contractual and legal work in a fast-moving global setting.
In this role, you will review, negotiate, and administer a broad mix of commercial agreements while keeping business goals, risk appetite, and operational needs in balance. The position brings legal work together with sales, procurement, and operations, so close collaboration across distributed teams is essential.
You will serve as a trusted advisor on contractual risk and help leadership make sound decisions on complex commercial matters. The role also places strong emphasis on improving processes, strengthening contract governance, and continuously refining templates, playbooks, and workflows.
In addition, you will help develop scalable legal and commercial operations that can support both organic expansion and strategic partnerships. This is a high-impact position for a detail-focused legal professional who performs well in a dynamic, technology-led, international environment.
Key Accountabilities
- Examine, mark up, and negotiate a wide range of commercial agreements, including NDAs, MSAs, SOWs, and software licensing or procurement contracts.
- Take the lead on contract conversations with customers, vendors, and partners while balancing business priorities with legal exposure.
- Own the full contract lifecycle, making sure records are accurate, stored properly, and governed correctly in internal systems.
- Offer practical recommendations and escalation advice to senior leaders on complex or high-value agreement issues.
- Work closely with Sales, Finance, Legal, Procurement, IT, Security, and Product teams to help deals move forward and remain compliant.
- Review peer contract markups and help maintain the quality of the team’s legal deliverables.
- Contribute to ongoing improvements in legal operations, including templates, playbooks, workflows, and training resources.
- Assist with reviewing materials tied to strategic partnerships, acquisitions, and other important commercial efforts.
- Help ensure adherence to internal policies, worldwide regulatory obligations, and risk management standards.
- Partner with process and systems teams to maintain and improve contract tools and legal knowledge bases.
- Look for ways to simplify contract handling and increase efficiency across commercial operations.
Requirements
- At least 2 years of experience in contracts or legal work, or an equivalent mix of legal education and experience.
- A law degree or a relevant bachelor’s degree, along with strong experience handling commercial contracts and negotiations.
- Hands-on experience drafting, reviewing, and negotiating commercial agreements in sales or procurement settings.
- Working knowledge of SaaS, cloud services, software licensing, or similar technology-based commercial models is beneficial.
- Strong analytical ability with the judgment to spot legal, commercial, and operational risks.
- Excellent attention to detail and the ability to juggle multiple contracts under tight deadlines.
- Strong English written and verbal communication skills, with confidence speaking with stakeholders at different levels.
- Ability to collaborate effectively in cross-functional teams spread across different locations.
- Comfort using Microsoft Word, Excel, and contract lifecycle management systems.
- Highly organized, process-driven, and committed to continuous improvement.
- A collaborative, flexible, and proactive style when solving problems in a fast-paced environment.
- Exposure to cloud, data privacy, intellectual property, or enterprise software agreements is a significant advantage.
