Overview
Our client, a distinguished international organisation with a diverse portfolio of strategic investments, partnerships, and joint ventures across multiple global markets, is seeking an experienced governance expert for a permanent leadership position. This role is vital in supporting sustained business growth by managing strategic relationships, safeguarding shareholder interests, and enforcing robust governance practices across a wide-ranging international portfolio.
Primary Responsibilities
- Lead and continuously improve governance structures across the Investments division and its subsidiaries, joint ventures, and investments.
- Act as a trusted advisor to senior executives and board members, offering guidance on governance issues, regulatory compliance, and best practices.
- Collaborate with Legal, Risk, Compliance, and Internal Audit teams to strengthen governance, risk management, and control frameworks within the Investments division.
- Support risk management and compliance projects throughout the division.
- Standardize governance policies to aid sound decision-making across the investment portfolio.
- Enhance governance policies, procedures, and controls to remain aligned with evolving organizational needs.
- Provide company secretarial services including preparation and management of board and committee meetings, documentation, and timely governance actions.
- Ensure efficient support and operations for Boards and Committees.
- Manage governance approvals, delegated authority protocols, and statutory documentation.
- Oversee governance compliance across diverse international investments and joint ventures, adapting to jurisdictional requirements.
- Advise organisation-appointed directors on joint venture boards, offering inductions and ongoing governance support.
- Review and prepare governance insights for board meeting materials.
- Coordinate director appointments, resignations, and governance modifications across the portfolio.
- Guide directors on their responsibilities and liability issues.
- Monitor adherence to applicable laws, corporate governance standards, and internal policies.
- Champion a culture emphasizing strong governance, accountability, and effective risk management within the Investments division.
- Establish and maintain strong trusted relationships with Executive Committee members, Board Directors, and senior leaders.
Required Skills and Qualifications
- Certified Company Secretary qualification.
- Extensive experience advising boards and senior executives on governance issues.
- Proven expertise in managing governance within complex international corporate structures including subsidiaries, joint ventures, and strategic investments.
- Deep knowledge of multinational governance frameworks across various jurisdictions.
- Strong ability to build trust and influence high-level decision-making.
- Experience in driving governance improvement initiatives and implementing enhanced governance frameworks.
- Solid understanding of enterprise risk management and corporate assurance methodologies.
- Experience supporting corporate restructurings, transactions, and organizational change.
- Familiarity with governance management platforms such as Diligent Entities or equivalent.
