Position Overview

We are looking for an accomplished Company Secretary with 7 to 10 years of experience in equity-listed companies to join us as Associate Vice President or Deputy Vice President in the Corporate Secretarial Department. The role involves ensuring rigorous compliance with statutory and regulatory frameworks, particularly relating to SEBI, Companies Act, and capital raising procedures, while assisting the Head of Company Secretary in governance and strategic decision-making.

Key Responsibilities

  • Ensure full compliance with all relevant legal and regulatory requirements governing the company.
  • Organize and prepare agendas and materials for Board of Directors meetings, including reviewing submissions from other departments before dissemination.
  • Maintain detailed records of minutes for Board and committee meetings.
  • Oversee timely preparation and filing of all mandatory corporate documents, including annual reports and statutory disclosures.
  • Advise the Board on corporate governance policies and ensure their consistent implementation.
  • Manage communications with shareholders and coordinate the annual general meetings (AGMs).
  • Coordinate with regulatory bodies to ensure prompt submission of compliance reports.
  • Manage ESOP programs and oversee enforcement of the Insider Trading Code.
  • Assist in company policy development and ensure adherence throughout the organization.
  • Provide counsel on corporate structure, shareholder rights, and other legal corporate matters.

Qualifications and Experience

  • Fellow member of the Institute of Company Secretaries of India (ICSI).
  • 7 to 10 years of relevant experience as a Company Secretary in an equity-listed company setting.
  • Comprehensive understanding of SEBI regulations, Companies Act, and corporate governance requirements.
  • Strong organizational skills, effective communication, and interpersonal abilities.
  • Proven teamwork capability with senior executives and Board members.
  • High integrity, keen attention to detail, and professionalism.
