In-house Counsel (Remote)

Role Overview

We are seeking a Corporate Attorney to provide expert legal advice on corporate governance, compliance, and transactional issues. This contract position is fully remote, allowing work from any location.

Primary Responsibilities

• Prepare, examine, and negotiate various commercial contracts, such as service, partnership, and vendor agreements.
• Offer guidance on corporate governance topics, including board and shareholder meetings, compliance with federal and state laws, and internal corporate policies.
• Ensure adherence to relevant laws and regulations, with special attention to data privacy and security obligations.
• Oversee corporate filings and maintain accurate corporate records, including minute books, stock ledgers, and certificates.
• Support mergers, acquisitions, and other corporate deal processes as necessary.

Required Qualifications and Skills

• Juris Doctor degree from an accredited law school and active membership in a state bar association.
• At least 5 years of experience specializing in corporate law, focusing on transactional and compliance work.
• Thorough knowledge of corporate governance frameworks, regulatory compliance, and legal requirements.
• Proven ability to draft and negotiate complex commercial contracts effectively.
• Capacity to operate independently in a remote work environment with minimal supervision.

Compensation

The contract position offers an hourly pay range of $90 to $150.
