Position Overview
This senior executive position at a rapidly expanding technology company in the United States involves leading the comprehensive legal strategy within a highly regulated industry. As EVP Chief Legal Officer, you will direct all legal operations including contract management, corporate governance, compliance, litigation oversight, and risk mitigation. You will act as a key consultant to executive leadership, board members, investors, and strategic partners, providing critical legal guidance to support major business decisions. This role demands a blend of deep legal knowledge, commercial insight, and strong leadership to tackle complex business challenges while fostering scalable legal processes and operational excellence.
Key Responsibilities
- Lead the entire legal division covering commercial contracts, governance, regulatory compliance, risk management, and strategic legal initiatives.
- Manage the full contracting process encompassing customer agreements, renewals, SaaS, licensing, data processing, and vendor contracts.
- Collaborate with departments such as Sales, Product, and Customer Success to structure agreements that promote growth while minimizing risk exposure.
- Develop scalable contract frameworks, templates, approval workflows, and operating models aligned with business expansion.
- Provide governance counsel and advise on fiduciary duties, regulation, and legal risks to executives and the Board.
- Prepare and present legal updates, risk analyses, and strategy briefings for leadership and Board meetings.
- Oversee selection and management of external counsel including budgeting and scopes of work across specialized legal areas.
- Direct litigation strategies, employment legal matters, investigations, and dispute resolution activities.
- Manage corporate governance processes, legal entity administration, intellectual property policies, and enterprise risk.
- Recruit, develop, and lead a dynamic legal team fostering proactive partnership and enabling business goals.
Required Qualifications
- Juris Doctor (JD) degree and active bar membership in good standing.
- Over 12 years of legal practice experience, including significant in-house leadership roles; prior Chief Legal Officer or General Counsel tenure strongly preferred.
- Proven expertise negotiating sophisticated commercial and technology agreements on a large scale.
- History of advising and effectively communicating with Boards of Directors, executive management, and investors.
- Experience working within private equity-backed or investor-governed companies.
- Strong background in litigation, labor and employment law, and regulatory issues.
- Exceptional executive presence, sound judgment, outstanding communication, and relationship management skills.
- Ability to balance legal risk management with business and operational priorities.
- Experience in fintech, lending, mortgage technology, servicing, or other regulated sectors is advantageous.
