Job description

Job Purpose

Assist the Company Secretary in ensuring compliance with the Companies Act, related Rules, and all other applicable company bylaws and statutes.

Context and Challenges

The Carbon Black segment operates globally with multiple legal entities and a complex holding structure. This global environment presents challenges such as:

  • Keeping abreast of fast-evolving international corporate laws, evaluating their impact on the business, and ensuring timely measures to prevent negative consequences.
  • Coordinating with global regulatory authorities to ensure consistent and appropriate disclosures across business operations.
  • Managing multi-cultural and multi-jurisdictional workforce dynamics to establish common understanding and vision.
  • Ensuring strict compliance with applicable laws within deadlines to avoid severe penalties.

Key Responsibilities

  • Develop and reinforce corporate governance standards and regulatory compliance for Indian entities including Birla Carbon India Pvt Ltd, Birla Carbon AP Pvt Ltd, and Snap Studio LLP.
  • Oversee all board meetings, committee meetings, and shareholder meetings ensuring adherence to legal frameworks and facilitating effective implementation of board/shareholder decisions.
  • Manage regulatory filings and secretarial duties such as dividend distribution, annual report creation, and share dematerialization.
  • Draft, review, and finalize legal documents related to borrowings, securities, investments, powers of attorney, assignment agreements, leases, property documentation, and other routine business paperwork for Indian entities.
  • Handle corporate governance functions for Birla Carbon entities outside India.
  • Manage corporate governance aspects of global financing transactions including documentation, security creation, corporate approvals, and compliance across multiple jurisdictions.
  • Review credit facility, bond, security, and other financing documents, negotiate with international legal counsel, and oversee large volume document management and processing.
  • Adapt the business practices to evolving global laws, promptly assessing regulatory changes and ensuring corrective steps to mitigate risks.
  • Keep directors and partners informed about significant business developments and legal updates to support their fiduciary responsibilities.
  • Identify required corporate law actions, collaborating with senior management such as the WTD, Executive Director, and CFO to implement these appropriately.
  • Lead specific business projects including tender offers, liquidation, minority share acquisitions, restructuring, mergers & acquisitions, corporate governance amendments, equity sales, company formations, and expansions.
  • Evaluate relevant legal and regulatory positions, propose compliant business solutions, and manage substantial documentation requirements.
