About the Role
Our client is a reputable professional services firm known for delivering audit, taxation, advisory, and corporate compliance services for clients across Ireland and internationally. Due to continued expansion, they are seeking a Company Secretary to join their Corporate Compliance team based in Dundalk. This position involves working in close collaboration with senior team members to provide company secretarial and corporate governance support to a diverse range of clients. The role is ideal for someone who is newly qualified or nearing qualification and eager to advance their career in a supportive and progressive environment. Key Responsibilities
- Prepare and file statutory documents with the Companies Registration Office (CRO) and Register of Beneficial Ownership (RBO).
- Draft Board Minutes, Written Resolutions, and materials for General Meetings.
- Manage Annual Returns and ensure adherence to all statutory filing deadlines.
- Maintain and update company secretarial records and associated software systems.
- Provide governance and company secretarial assistance across a wide client base.
- Handle various corporate compliance tasks and company secretarial transactions.
- Support senior colleagues on client assignments and compliance projects.
- Communicate effectively with clients, legal advisors, and regulatory bodies regarding secretarial matters.
- Ensure company records are accurate, compliant, and up to date.
- Assist with other compliance and governance-related projects as needed.
Candidate Profile
- Qualified or nearing qualification with the Chartered Governance Institute (CGI).
- Approximately 2 to 3 years experience in company secretarial, corporate compliance, or governance roles.
- Possession of a third-level degree in Law, Business, Corporate Governance, or a related field.
- Strong knowledge of Irish company law and corporate governance standards.
- Experience with company secretarial software such as Diligent or Blueprint preferred.
- Highly organised with strong ability to juggle multiple deadlines efficiently.
- Excellent communication skills, both written and verbal, and a professional demeanor in client interactions.
- Meticulous attention to detail and dedication to high-quality work.
- Proactive and able to work independently as well as collaboratively within a team.
