Position Overview
A prominent organization in the financial services sector is looking to appoint a Company Secretarial and Governance Assistant at their Dublin location. This role offers the chance to collaborate closely with senior executive management committees and contribute significantly to governance processes.
Responsibilities
- Assist the Head of Corporate Governance by overseeing secretarial administrative duties for key senior management committees, acting as the Secretary for essential meetings.
- Organize committee workflows including agenda setting, meeting arrangements, collecting documentation, minute taking, monitoring follow-up actions, and maintaining comprehensive records for all relevant committees.
- Ensure committee operations adhere strictly to applicable legal and regulatory frameworks, governance best practices, as well as internal group policies.
- Offer consistent advice and hands-on support to colleagues managing sub-committees to uphold governance uniformity and proper documentation.
- Prepare and circulate written resolutions to obtain approvals from senior executive committees efficiently.
- Keep governance documentation current, such as terms of reference, membership details, future agendas, action logs, meeting timetables, and approval archives for all committees involved.
Candidate Profile
- University degree holder demonstrating a strong academic record and a dedication to continuous professional growth.
- Experience in company secretarial or governance functions, preferably within financial services or other regulated environments.
- Excellent interpersonal skills to cultivate trusted relationships across all organizational levels, including senior leadership.
- Strong research and analytical capabilities for effectively gathering information relevant to audits and regulatory requirements.
- Exceptional organizational abilities combined with meticulous attention to detail in managing intricate records.
- Superior written communication prowess for drafting resolutions, memoranda, meeting minutes, and various committee documents clearly and accurately.
- Self-driven and adaptable, capable of thriving within a collaborative team setting; proficient in Microsoft Outlook, Excel, Word, and PowerPoint.
