Role Overview
Terabase is hiring a Commercial Counsel to act as a practical legal partner across sales, procurement, operations, and product contracting work. Reporting closely with the VP of Legal, this person will handle drafting, reviewing, negotiating, and managing a wide range of commercial agreements such as customer contracts, SaaS and software agreements, vendor and procurement documents, construction-related services agreements, partnership agreements, NDAs, MSAs, SOWs, order forms, and other contract lifecycle tasks.
This position is centered on commercial legal work, but it also includes helping to build the contracting structure needed for a lean legal team to operate at scale. The role involves supporting deal closure, coordinating internal approvals, improving templates and playbooks, managing contract intake and routing, and helping develop Ironclad workflows and contract data practices. The ideal candidate is commercially minded, comfortable with technology and construction risk, and able to move between legal analysis, negotiation support, stakeholder coordination, and process improvement while keeping business goals in focus.
This is a remote role with limited travel, expected to be under 10%.
Commercial Contracting and Legal Support
- Prepare, review, and negotiate a wide mix of business agreements, including NDAs, MSAs, SOWs, order forms, SaaS agreements, software and technology agreements, vendor and procurement contracts, partner agreements, services agreements, and construction-related arrangements.
- Advise Sales, Supply Chain/Procurement, Operations, Product, Project Management, and other internal groups with contracting guidance that is practical and business-oriented.
- Provide legal support that reflects the realities of EPC-adjacent work, including subcontractors, field services, robotics deployment, equipment arrangements, and project-based transactions.
- Spot legal and commercial risks, explain them clearly, and elevate them when needed so stakeholders can make informed decisions.
- Help separate legal issues from business judgment calls and support the right internal approvals and decisions.
- Work with outside counsel when additional capacity, specialized expertise, or periods of heavy volume are needed.
Deal Execution and Contract Lifecycle Management
- Drive contracts and deals through to completion by managing timelines, coordinating approvals, tracking open points, and helping remove negotiation blockers.
- Handle contract intake, triage, routing, signature coordination, and follow-through after signature.
- Maintain structured contract records, keep contract status information current, and preserve key metadata.
- Support clean contract repository practices, reporting, and accurate data so the business has visibility into obligations, renewals, approvals, and deal risk.
- Contribute to internal approval materials such as risk summaries, issue trackers, and commercial/legal briefings for stakeholders.
Legal Operations, Ironclad, and Process Improvement
- Help run, refine, and scale Ironclad workflows, including intake forms, approval paths, routing logic, templates, metadata fields, and repository practices.
- Collaborate with Legal, Sales Operations, Supply Chain/Procurement, Finance, and other teams to simplify contracting and reduce friction.
- Create and maintain playbooks, fallback positions, escalation rules, clause libraries, template sets, and training resources.
- Find bottlenecks in the process and recommend practical improvements to intake, approvals, routing, signatures, and broader contract automation.
- Support the rollout and ongoing improvement of contracting policies, including when review is mandatory, who can approve exceptions, and how deviations are recorded.
- Build lightweight dashboards, reports, or tracking tools to monitor contract volumes, cycle times, approval progress, and recurring negotiation themes.
Qualifications
Applicants must hold a JD and an active license to practice law in the jurisdiction where they live. The role calls for 4-6+ years of commercial contracting experience, ideally in-house or in a business-facing commercial legal role, along with strong drafting, redlining, negotiation, and issue-spotting skills across multiple contract types. Candidates should have experience with technology, construction, SaaS, software, services, vendor, customer, or procurement agreements, and be comfortable managing several contracts and stakeholders at once. Strong business judgment, the ability to separate legal from commercial issues, and a clear communication style that explains risk without unnecessary complexity are important. Comfort with responsibilities beyond negotiation, including intake, routing, approvals, signature tracking, repository upkeep, and contract status management, is also required. Interest in legal operations, process improvement, scalable contracting systems, and independent work within a lean legal team is essential.
Preferred Background
Helpful experience includes using Ironclad or another CLM platform for workflows, intake, templates, metadata, approvals, repository management, or reporting. Background in construction, EPC, infrastructure, renewable energy, robotics, hardware, field services, or project-based commercial arrangements is also valuable, as is familiarity with solar, energy, construction technology, or utility-scale project development. Candidates who have built or improved playbooks, fallback positions, approval matrices, escalation procedures, or clause libraries; supported deal desk, sales operations, procurement operations, or legal operations; prepared internal approval materials or contract guidance; worked with contract data, dashboards, or lifecycle metrics; or held prior in-house legal roles in growth-stage technology, energy, construction, or infrastructure companies may be especially well suited.
Compensation and Benefits
The base salary for this role is $150,000 to $185,000, depending on experience and other factors. Pay is influenced by the position level, work location, job-related skills, experience, and relevant education or training.
