Terabase Energy is building a connected software and construction automation platform to help accelerate digital transformation and efficiency gains in large-scale solar. The company collaborates with project developers, asset owners, and engineering and construction firms on the design, optimization, and delivery of major solar projects across the globe. Its team combines long-time solar professionals with newer talent from software, engineering, product, project management, sales, and marketing, and it operates from Northern California with additional offices in the U.S. and internationally.

Role Overview

Terabase is hiring a flexible, business-focused Commercial Counsel to act as a legal partner for sales, procurement, operations, and product contracting work. Reporting to and working closely with the VP of Legal, this person will handle a broad mix of commercial agreements and help strengthen the contracting systems that support a lean legal team.

The position is primarily centered on commercial law, but it also requires someone who can help scale contract operations by improving templates, playbooks, intake, routing, and contract lifecycle management practices, including Ironclad workflows and contract data processes. The ideal candidate will bring sound judgment on commercial contracts, comfort with both software and construction-related issues, and a practical approach to legal operations. The role is remote and involves occasional travel of less than 10%.

Commercial Contracting and Legal Support

  • Prepare, review, and negotiate a wide mix of agreements such as NDAs, MSAs, SOWs, order forms, SaaS and software licenses, vendor and procurement contracts, partnership agreements, services contracts, and construction-related documents.
  • Advise internal teams including Sales, Supply Chain/Procurement, Operations, Product, Project Management, and other stakeholders with solutions that are business-minded and actionable.
  • Provide legal guidance that accounts for construction-related realities in EPC-adjacent work, subcontracting, field services, robotics deployment, equipment supply, and project-based commercial arrangements.
  • Spot legal and commercial risks, explain them clearly, and elevate them when needed so business teams can make informed decisions.
  • Separate legal risk from business risk and support internal approvals and decision-making.
  • Work with outside counsel when additional coverage, specialized expertise, or higher-volume periods require support.

Deal Execution and Contract Lifecycle Management

  • Coordinate contract and deal progress through to signature by managing timelines, routing approvals, tracking open items, and helping negotiations move forward.
  • Handle contract intake, triage, routing, signature coordination, and post-signature transition tasks.
  • Maintain accurate contract records, status tracking, and essential contract metadata.
  • Support repository cleanliness, reporting, and data quality so the business has visibility into obligations, renewal timing, approval status, and deal risk.
  • Draft or support internal approval materials such as risk summaries, issue trackers, and commercial/legal briefings for key stakeholders.

Legal Operations, Ironclad, and Process Improvement

  • Administer, refine, and expand Ironclad workflows, including intake forms, approval paths, routing rules, templates, metadata fields, and repository practices.
  • Partner with Legal, Sales Ops, Supply Chain/Procurement, Finance, and other teams to streamline contracting and reduce friction.
  • Create and maintain playbooks, fallback positions, escalation steps, clause libraries, template collections, and training resources.
  • Find bottlenecks in the process and recommend practical improvements to intake, approvals, routing, signatures, and contract automation.
  • Support the rollout and ongoing improvement of contract policies, including review thresholds, approvers for deviations, and documentation of exceptions.
  • Build light reporting tools, dashboards, or trackers to monitor contract volume, turnaround times, approval progress, and recurring negotiation themes.

Requirements

  • Juris Doctor degree and an active law license in the jurisdiction where the candidate lives.
  • At least 4-6+ years of experience in commercial contracting, ideally in-house or in a business-facing legal role.
  • Strong ability to draft, mark up, negotiate, and identify issues across different commercial agreements.
  • Hands-on experience with technology, construction, SaaS, software, services, vendor, customer, or procurement contracts.
  • Proven ability to juggle multiple contracts and stakeholders while keeping deals on track.
  • Sound business judgment and the ability to distinguish legal issues from commercial ones.
  • Clear, pragmatic communication skills with the ability to explain risk without unnecessary complexity.
  • Comfort handling work beyond negotiation, such as intake, routing, approvals, signature tracking, repository maintenance, and contract status management.
  • Interest in legal operations, process design, and scalable contracting systems.
  • Ability to work independently within a lean legal team and collaborate closely with non-lawyer business partners.

Preferred Qualifications

  • Experience using Ironclad or another contract lifecycle management platform, including workflows, intake forms, templates, metadata, approvals, repository management, or reporting.
  • Background in construction, EPC, infrastructure, renewable energy, robotics, hardware, field services, or project-based commercial models.
  • Familiarity with solar, energy, construction technology, or utility-scale project development.
  • Experience developing playbooks, fallback positions, approval matrices, escalation paths, or clause libraries.
  • Experience supporting deal desk, sales operations, procurement operations, or legal operations teams.
  • Comfort creating internal approval documents, deal summaries, risk notes, or contract guidance for stakeholders.
  • Experience working with contract data, reporting, dashboards, or contract lifecycle metrics.
  • Previous in-house legal experience in a growth-stage technology, energy, construction, or infrastructure company.

Compensation and Benefits

The base salary for this position is $150,000 to $185,000, depending on experience and qualifications. Pay is influenced by role level, location, work location, job-related skills, experience, and relevant education or training.
