The company is building a connected platform that combines software with construction automation to support developers, owners, and engineering and construction partners working on major solar projects worldwide. Its team brings together experienced solar professionals, engineers, software talent, product and project managers, and go-to-market specialists. The company operates from Northern California and has additional offices across the United States and internationally.

Role Overview

Terabase Energy is looking for a flexible, business-oriented Commercial Counsel to act as a key legal partner for sales, procurement, operations, and product-related contracting. Reporting to the VP of Legal, this person will handle the drafting, review, negotiation, and administration of a wide range of agreements, including customer contracts, SaaS and software agreements, vendor and procurement terms, construction-related services contracts, partnership agreements, NDAs, MSAs, SOWs, order forms, and other matters across the contract lifecycle.

This position is centered on commercial legal work, but it also calls for someone who can help strengthen the contracting systems that enable a lean legal team to scale. The role will support deal closure, internal approval coordination, contract intake and routing, template and playbook improvements, and the continued development of contract lifecycle management practices, including Ironclad workflows and contract data handling.

The ideal candidate combines strong commercial contracting judgment with comfort handling both technology-related and construction-related risk, along with a practical legal operations mindset. Success in this role requires the ability to move between legal analysis, deal execution, stakeholder coordination, and process improvement while staying aligned with business goals. The role is remote, with occasional travel of less than 10%.

Commercial Contracting and Legal Support

  • Create, review, and negotiate a wide mix of commercial agreements such as NDAs, MSAs, SOWs, order forms, SaaS contracts, software and technology agreements, vendor and procurement agreements, partner agreements, services agreements, and construction-related contracts.
  • Advise sales, supply chain/procurement, operations, product, project management, and other internal teams with practical, business-focused contracting guidance.
  • Provide legal support for construction-aware commercial arrangements connected to EPC-adjacent work, subcontractors, field services, robotics deployment, equipment, and project-based engagements.
  • Spot, explain, and elevate legal and commercial risks in a straightforward way that helps business leaders make informed choices.
  • Differentiate between legal exposure and business tradeoffs, and support sound internal approvals and decision-making.
  • Work with outside counsel when additional capacity or specialized expertise is needed, or during periods of heavier volume.

Deal Execution and Contract Lifecycle Management

  • Drive contracts and deals toward completion by managing timelines, coordinating approvals, tracking issues, and helping remove negotiation blockers.
  • Oversee contract intake, triage, routing, signature coordination, and the handoff work that follows execution.
  • Maintain orderly contract files, status tracking, and important contract metadata.
  • Support repository organization, reporting, and data quality so stakeholders have better visibility into obligations, renewal timing, approval status, and risk.
  • Prepare or contribute to internal approval materials such as risk summaries, issue trackers, and commercial/legal briefings for decision-makers.

Legal Operations, Ironclad, and Process Improvement

  • Help run, refine, and scale Ironclad workflows, including intake forms, approval routing, logic rules, templates, metadata, and repository practices.
  • Partner with Legal, Sales Operations, Supply Chain/Procurement, Finance, and other teams to simplify contracting and reduce unnecessary friction.
  • Build and update playbooks, fallback positions, escalation paths, clause libraries, templates, and training resources.
  • Identify bottlenecks in the process and suggest practical ways to improve intake, approvals, routing, signatures, and automation.
  • Support the rollout and ongoing improvement of contracting policies, including when review is required, who can approve exceptions, and how deviations are recorded.
  • Help create lightweight dashboards, reports, or tracking tools that show contract volume, cycle time, approval progress, and recurring negotiation themes.

Experience and Qualifications

This role requires a JD and an active license to practice law in the jurisdiction where the candidate lives. Terabase is seeking someone with at least 4–6+ years of commercial contracting experience, ideally gained in-house or in a business-facing legal role.

Strong skills in drafting, redlining, negotiation, and issue spotting are essential, along with experience handling technology, construction, SaaS, software, services, vendor, customer, or procurement agreements. The right person should be able to juggle multiple contracts and stakeholders while keeping matters moving forward.

The company is looking for strong business judgment, the ability to separate legal concerns from commercial considerations, and a communication style that is clear, practical, and not overly legalistic. Comfort with tasks beyond negotiation is also important, including intake, routing, approvals, signature tracking, repository management, and contract status oversight. An interest in legal operations, process improvement, and scalable contracting systems is also expected, as is the ability to work independently within a lean legal team while collaborating closely with non-lawyer business partners.

Nice-to-Have Background

Helpful additions to a candidate’s background include experience with Ironclad or another CLM platform, exposure to construction, EPC, infrastructure, renewable energy, robotics, hardware, field services, or project-based commercial structures, and familiarity with solar, energy, construction technology, or utility-scale project development.

Additional advantages include experience creating or refining playbooks, fallback positions, approval matrices, escalation procedures, and clause libraries; supporting deal desk, sales operations, procurement operations, or legal operations; preparing approval materials, deal summaries, risk memos, or contract guidance; working with contract data, reporting, dashboards, or lifecycle metrics; and prior in-house experience at a growth-stage company in technology, energy, construction, or infrastructure.

Compensation and Benefits

This position offers a base salary range of $150,000 to $185,000, depending on experience and other factors. Pay within the stated range is influenced by work location, relevant skills, experience, and education or training.
