Role Overview

This position supports the Corporate Secretary across multiple Asian jurisdictions, including Singapore, Japan, India, South Korea, and the Cayman Islands. Key responsibilities include facilitating efficient operations of the corporate secretariat, ensuring meticulous management and filing of corporate documents, and preparing statutory registers and minutes books. Close collaboration with Brookfield's investment, legal, tax, and finance teams is integral.

Key Responsibilities

  • Oversee daily corporate secretariat functions throughout Asia to ensure seamless operations.
  • Draft corporate secretarial resolutions such as those related to share subscriptions, allotments, redemptions, and transfers.
  • Monitor and track progress on all outstanding matters diligently.
  • Coordinate effectively to gather timely approvals and inputs from relevant stakeholders.
  • Cultivate positive working relationships within team members and stakeholders.
  • Promote an operational culture committed to excellence.
  • Analyze board documents contextually to understand the implications on board packs and minutes.
  • Maintain corporate documents with proper retention and organization.
  • Ensure corporate secretarial compliance with applicable laws, regulations, and filing requirements.
  • Review and update secretarial templates to reflect current legislation.
  • Assist in designing template documents and secretarial workflows with the Brookfield Corporate Office Group (BCOG).
  • Collaborate with external service providers across jurisdictions to ensure timely regulatory filings.
  • Work alongside Executive Assistants to coordinate board meetings, prepare resolutions, obtain approvals, and handle statutory filings.

About You

  • Possess 3 to 5 years of corporate secretarial experience.
  • Professional qualification in the field is preferred but not mandatory.
  • Experience in real estate, infrastructure, or general fund administration is an advantage.
  • Thorough knowledge of Singapore Companies Act and experience with ACRA filing, including IRAS stamping procedures.
  • Strong understanding of legal principles and mechanics related to corporate decisions.
  • Proficient with Microsoft Office and comfortable with entity management software, particularly Diligent Entities.
