Department Overview
The Company Secretarial Department provides comprehensive company secretarial, legal, and corporate administration support across all business units. Their responsibilities include establishing and maintaining legal entities as well as managing corporate records and registers for group companies.
Role Purpose
The appointed Assistant Company Secretary will collaborate closely with the Regional Company Secretary to manage all company secretarial responsibilities for group companies within the Asia Pacific region, with a strong focus on Singapore. This position involves varied and dynamic duties beyond conventional company secretarial tasks, requiring ownership of a broad portfolio of companies across multiple jurisdictions as well as ad hoc assignments. Core responsibilities involve overseeing corporate legal administration and compliance, including drafting and reviewing legal documents such as board/shareholder resolutions and intragroup agreements, alongside handling miscellaneous group projects and requests. The role necessitates a practical, proactive approach encompassing routine administrative duties like filing, managing signatures, and handling correspondence. The role is part of an international team performing similar functions for group companies globally.
Knowledge, Skills, and Qualifications
- Proven experience in Singapore corporate secretarial practices and company law compliance is imperative.
- Exposure to company secretarial work in other regional legal jurisdictions is advantageous but not mandatory.
- At least five to eight years of pertinent professional experience.
- Relevant educational background preferably including a law degree and/or professional accreditation such as ICSA.
- Demonstrated capability and readiness to operate effectively in a fast-paced commercial setting, engaging senior management and global colleagues.
- Ability to work autonomously while managing diverse, shifting priorities efficiently.
- A pragmatic, solution-focused mindset with a hands-on outlook toward daily operational management.
- Fluency in English is required; additional languages are welcomed but optional.
- Familiarity with MS Office suite, corporate secretarial software (e.g., Computershare, GEMS), and ACRA Bizfile filing procedures.
- Outstanding verbal and written communication skills.
- A vibrant, energetic, and driven personality combined with strong organizational skills to handle multiple deadlines accurately.
Key Responsibilities
- Manage corporate secretarial and compliance duties for a portfolio exceeding 25 Singapore-registered entities.
- Draft, coordinate, and oversee timely execution of legal and corporate documentation, including resolutions, minutes, powers of attorney, banking facilities, share transfers, loan agreements, guarantees, and service contracts.
- Administer legal corporate services and maintain document and records management for assigned companies.
- Coordinate with internal departments such as legal, tax, finance, and treasury, as well as external advisors, auditors, and company agents.
- Submit mandatory filings and notifications through ACRA for Singapore companies.
- Maintain statutory registers and minute books accurately.
Key Relationships and Reporting
- Collaborate with the Group Company Secretary and other Regional Company Secretaries.
- Work alongside Directors and colleagues based in Singapore as well as teams in other global offices.
- Report directly to the Group Company Secretary in Geneva, Switzerland, and functionally to the Regional Company Secretary located in South Africa.
