Senior Manager – Sales and Purchase Agreement Advisory, Transaction Diligence

In this Senior Manager role, you will support major organisations, fast-growing businesses, and private equity clients across Oceania and global markets on complex transactions spanning many industries.

Key responsibilities

• Lead and contribute to SPA advisory assignments for acquisitions and disposals involving private equity investors, funds, and strategic corporate buyers or sellers, coordinating closely with clients, bankers, and legal advisers.
• Carry out cash, debt, and working capital analysis, prepare pricing schedules, and review financial elements of SPAs and completion accounts.
• Guide clients on transaction mechanics and deal-related financial analysis, including identifying the most appropriate purchase price mechanism and interpreting diligence findings and interview insights.
• Support negotiations by helping shape clear, persuasive outputs that help clients reach agreement on the key financial points of a transaction.
• Develop and sustain strong relationships with internal colleagues and external clients to build a pipeline of high-value work.
• Work with other EY service lines to provide clients with a joined-up advisory approach.

Skills and experience required

• A bachelor’s or master’s degree in accounting, business, finance, or economics, along with membership in the Institute of Chartered Accountants, CAANZ, or an equivalent international body.
• At least 5 years of experience in professional services, chartered accounting, financial performance and analysis, or mergers and acquisitions within a corporate environment.
• Proven ability to quickly establish and manage relationships with multiple clients and internal teams.
• Experience working with senior stakeholders on multiple transaction diligence or M&A engagements.
• Strong interest in how businesses operate, what drives transaction value, and how deals are structured.
• A client-first approach, strong attention to detail, and the ability to simplify complex topics for audiences without accounting backgrounds.

Work arrangement

This position is based in Auckland (Tāmaki Makaurau) and follows a hybrid working model. The role may also be adjusted for flexible working with reduced hours, subject to discussion.

Additional information

The annual salary range for this role is NZD 150,000 to NZD 165,000, depending on skills, experience, and work location. The position is full time and requires a minimum of 37.5 hours per week.
