Senior Legal Counsel - Data Privacy & Technology Contracts

Role Overview

We are looking for a seasoned Senior Legal Counsel to join the Legal & Compliance function, with deep experience in technology contracting, data privacy, and intellectual property. The role suits a business-savvy lawyer who can guide teams through legal risk in a way that is practical, commercially sound, and easy to act on. You will work across SaaS agreements, privacy compliance, open-source matters, and M&A-related legal work in a complex, multinational environment.

Technology Contracts and Commercial Agreements

• Prepare, assess, and negotiate a wide range of technology agreements, such as SaaS contracts, EULAs, master service agreements, software licences, cloud arrangements, OEM deals, and joint development contracts.
• Handle negotiations with enterprise customers, suppliers, data vendors, and resellers while protecting the company’s commercial and legal position.
• Examine RFP terms and conditions, flag contractual exposure for internal teams, and recommend practical ways to reduce risk.
• Improve and keep current the contract templates, negotiation playbooks, and internal procedures used by the legal team.

Data Privacy and Compliance

• Oversee the rollout and day-to-day operation of the organization’s data governance framework, including policies, notices, and related agreement updates.
• Act as the lead for the DPO function and serve as the main privacy contact for internal stakeholders and regulators.
• Run privacy compliance initiatives for GDPR, CCPA/CPRA, and HIPAA, including awareness training, handling data subject requests, and managing breach response activities.
• Ensure privacy practices are aligned with recognized security and governance frameworks, including ISO 27001, NIST, and SOC standards.

Intellectual Property and Open-Source Compliance

• Advise on IP strategy for new product launches, including patent review analysis and IP checklist assessments.
• Guide the business on compliance with open-source licences such as GPL, LGPL, MIT, BSD, and Apache for usage, contribution, and acquisition scenarios.
• Support trademark work, including classification searches and assistance with infringement matters.

M&A and Strategic Transactions

• Assist with legal due diligence and risk evaluation for mergers, acquisitions, and strategic partnerships.
• Reduce exposure through well-drafted representations, warranties, indemnities, and other contractual safeguards.
• Work with outside counsel on cross-border deals and regulatory issues.

Requirements

• LLB or an equivalent law degree from a recognized institution is required; postgraduate study or specialization in intellectual property or technology law is a plus.
• Privacy certification from IAPP, such as CIPP-US or CIPP/E, or an equivalent credential, is strongly preferred.
• Between 6 and 8 years of post-qualification experience in technology law, including at least 3 years in an in-house corporate legal role.
• Experience advising Fortune 500 companies or large conglomerates in multicultural, multi-jurisdictional settings.
• Strong history of negotiating high-value, complex technology transactions.
• Practical experience building and running privacy programs under GDPR, CCPA/CPRA, and HIPAA.
• Solid knowledge of software licensing, SaaS contracting, and cloud computing agreements.
• Understanding of open-source compliance obligations and licence frameworks.
• Ability to coordinate with external counsel, including oversight of budgets and matters.
• Excellent written and spoken communication skills, with the ability to explain legal issues in clear business terms.
• Strong analytical thinking, negotiation ability, and commercial problem-solving skills.
