Role Overview
We are seeking a Senior Healthcare Contracts Specialist to lead the drafting, negotiation, and administration of intricate business agreements and act as a trusted partner to internal teams. This role involves applying contract expertise to align with business strategies, ensuring smooth contract execution, and managing risk throughout the contract life cycle.
Key Responsibilities
- Draft, review, revise, and negotiate complex commercial contracts such as master services agreements, vendor contracts, HIPAA Business Associate Agreements, statements of work, amendments, renewals, data sharing agreements, non-disclosure agreements, and more, utilizing approved templates and negotiation guides.
- Evaluate and negotiate non-standard contractual clauses within established legal parameters, independently resolving standard issues and escalating complex or high-risk matters to in-house legal counsel when necessary.
- Serve as the principal legal contact for assigned contracts, collaborating closely with Sales, Operations, Finance, IT, Compliance, and executive leadership to ensure timely contract processing and execution.
- Offer pragmatic advice on contract terms, risk management, and negotiation techniques, while recommending enhancements to contracting workflows and risk mitigation.
- Participate in the ongoing refinement of contract templates, standard clauses, fallback positions, and negotiation playbooks within the legal team.
- Maintain and support contract lifecycle management processes and systems, ensuring contract documentation is organized, accurate, and complies with company policy.
- Perform additional duties as assigned.
Qualifications
- Bachelor's degree in Legal Studies, Business Administration, Healthcare Administration, Paralegal Studies, or related fields.
- Over seven years of increasing responsibility in drafting, reviewing, negotiating, and managing complex commercial agreements.
- Proven experience managing contract negotiations directly with clients, vendors, and partners using standard templates and playbooks, exercising sound judgment about legal escalation.
- Strong ability to interpret, draft, and analyze complex legal and business contracts.
- Skilled at identifying legal, operational, financial, and compliance risks in agreements and recommending practical solutions or escalating when appropriate.
- Excellent written and verbal communication skills, capable of explaining complex contractual matters clearly and producing polished contract language.
- Strong analytical, problem-solving, organizational, and project management abilities.
- Thorough knowledge of contract law principles, risk allocation, and commercial negotiation practices.
- Ability to prioritize multiple demanding assignments in a fast-paced environment with minimal supervision, consistently meeting deadlines.
- Advanced expertise in Microsoft Word, including document redlining, Track Changes, comparison, formatting, and managing complex documents.
- Experience with contract lifecycle management platforms and document management systems.
Preferred Qualifications
- Experience with healthcare-related contracts such as payer, provider, vendor, technology, data-sharing, and Business Associate Agreements within healthcare, insurance, or related regulated industries.
- Professional certifications in paralegal or contract management (e.g., NCMA) or a Juris Doctor (JD) degree.
Work Environment
- This position is fully remote, with all necessary equipment provided.
- Requires a quiet, distraction-free workspace and reliable internet capable of streaming.
