About the Role
This role requires a specialist with expertise in private equity and mergers & acquisitions documentation. The role is contract-based and hourly, with a flexible commitment ranging from 10 to 40 hours per week. The position is fully remote, and the contractor will be responsible for sourcing and verifying various finance transaction documents essential to financial deals.
Responsibilities
- Locate and provide eligible financial transaction documents such as Confidential Information Memorandums (CIMs), Supplemental Information Memorandums (SIMs), Stock Purchase Agreements (SPAs), Private Placement Memorandums (PPMs), board presentations, and management decks.
- Confirm that all submitted material complies with legal restrictions, ensuring there are no Non-Disclosure Agreements (NDA), Material Non-Public Information (MNPI), or proprietary limits in place.
- Maintain comprehensive metadata records documenting the transaction type, relevant industry, and deal structure details.
- Classify transaction-related documentation appropriately based on financial and deal-specific context.
- Work closely with compliance and operations teams to guarantee sourcing accuracy and adherence to legal requirements.
- Make informed decisions distinguishing between publicly available financial data and restricted materials.
- Engage in professional communication pertinent to sourcing, validating, and submitting documentation workflows.
Requirements
- Demonstrated experience in private equity, mergers & acquisitions, investment banking, corporate development, or transaction advisory roles.
- Practical knowledge and familiarity with financial transaction documents and deal documentation.
- Capability to discern legally shareable documents and identify compliance-sensitive content.
- Excellent attention to detail for thorough document review and classification.
- Strong organizational skills and proficiency in managing detailed records.
- Ability to operate independently within a remote and dynamic working environment.
- Dedication to upholding compliance and sourcing integrity standards.
