Overview
Join Verdant Energy as a Legal and Compliance Manager based in Singapore, taking charge of legal and governance matters within the dynamic renewable energy sector. This pivotal role involves ensuring corporate compliance, providing comprehensive legal support for energy projects, and steering M&A and project finance transactions.
Key Responsibilities
- Deliver expert legal counsel on corporate structuring and governance within Singapore, managing group entities effectively.
- Ensure adherence to Singapore's corporate legislative requirements, including company registration, licensing, and filing statutory documents with authorities like the Accounting and Corporate Regulatory Authority.
- Facilitate board meetings, oversee shareholder resolutions, and maintain accurate statutory records.
- Advise on employment and regulatory matters governed by Singapore law.
- Draft, scrutinize, and negotiate a broad array of commercial contracts such as service agreements, supply contracts, NDAs, and term sheets, aligning contracts with corporate risk policies.
- Provide legal guidance for renewable energy project agreements, including Power Purchase Agreements, Engineering, Procurement and Construction (EPC) contracts, and Operations & Maintenance (O&M) agreements.
- Assess contractual and regulatory risks associated with project delivery, collaborating with project, engineering, and commercial teams to ensure compliance.
- Support mergers and acquisitions activities through due diligence, deal structuring, documentation, and post-deal integration.
- Offer advice on project financing including preparation and negotiation of financing agreements, security packages, and compliance with lender requirements.
- Coordinate with financial advisors, lenders, and external legal counsel during transaction phases.
- Manage disputes, claims, and potential litigation in partnership with external legal experts, offering strategic counsel to mitigate risks.
- Collaborate cross-functionally with teams from Finance, Human Resources, Business Development, and Project Development to support strategic initiatives including joint ventures and regional growth efforts.
Required Qualifications and Experience
- Possess a Bachelor of Laws degree (LLB or equivalent); Singapore Bar admission is preferred.
- Demonstrate 5 to 7 years of substantial experience in corporate law, mergers and acquisitions, and project finance, ideally within renewable energy, infrastructure, or power sectors.
- Proficient in drafting and negotiating sophisticated commercial agreements, including EPC contracts, PPAs, joint venture agreements, and finance-related documentation.
- Experience in law firms for 2 to 5 years is advantageous.
- Well-versed in Singapore's legal and regulatory environment.
- Experience managing cross-border transactions in Southeast Asia is a plus.
- Exemplary analytical, negotiation, and communication capabilities.
- Ability to operate autonomously while effectively coordinating multiple stakeholders.
