Job description

Overview

We are looking for a driven and highly analytical Investment Banking Associate to join our leading Technology & Software M&A team in New York. This role involves hands-on participation in managing complex and high-profile buy-side and sell-side mergers and acquisitions, divestitures, joint ventures, and strategic advisory projects within the technology sector, focusing particularly on enterprise software, SaaS, vertical software, and tech-enabled services.

Key Responsibilities

  • Develop, enhance, and validate comprehensive financial models such as Leveraged Buyout (LBO), Discounted Cash Flow (DCF), Merger Arbitrage/Accretion-Dilution, Three-Statement, and Comparable Companies / Precedent Transactions analyses.
  • Incorporate software-specific financial metrics including Annual Recurring Revenue (ARR), Monthly Recurring Revenue (MRR), Net Retention Rate (NRR), Customer Acquisition Cost (CAC) Payback, Magic Number, Rule of 40, Lifetime Value to CAC (LTV/CAC), and churn rates into valuation and strategy narratives.
  • Manage all aspects of M&A processes for sell-side and buy-side deals such as preparing Confidential Information Memoranda (CIMs), teaser documents, management presentations, maintaining virtual data rooms (VDR), and tracking detailed buyer logs.
  • Lead coordination of financial, operational, and commercial due diligence activities, acting as the principal liaison among target company management, private equity investors, legal teams, and accounting consultants.
  • Compose impactful client-facing materials including pitches, proposals, board presentations, and fairness opinions.
  • Conduct comprehensive strategic research on technology sub-sectors, analyzing competitive dynamics, emerging trends in SaaS, and capital market movements to uncover new transaction opportunities.

Qualifications & Skills

  • Possess 2 to 4 years of related experience in Investment Banking, Corporate Development, or M&A Advisory focused on Technology, Media & Telecom (TMT) or Software industries.
  • Strong preference for candidates who have completed a 2–3 year analyst program at bulge bracket banks, elite boutique firms, or tech-oriented middle-market firms.
  • Holds a Bachelor’s degree in Finance, Economics, Computer Science, Engineering, or similar fields with notable academic achievement; an MBA from a top-tier school is advantageous.
  • Demonstrates the ability to excel in a demanding, deadline-driven environment and must be located in or willing to relocate to the New York metropolitan area.
