Role overview

JPMorganChase is hiring an Analyst for its Private Capital Advisory team within the M&A group. The team is part of the global Private Capital Advisory & Solutions platform and advises clients on raising non-control private capital for a range of strategic uses, including mergers and acquisitions, growth and capital expenditure, shareholder monetization, balance sheet recapitalization, and refinancing. The work spans many industries and transaction types, from common equity to more structured capital solutions, depending on client needs.

The group partners closely with industry coverage bankers and other product specialists across the firm. Its clients mainly include large investment-grade corporations, sponsor-backed businesses, and entrepreneur- or family-owned companies that are pursuing private transactions as an alternative to public markets. Capital is sourced through customized M&A-style processes and may involve private equity firms, sovereign wealth funds, alternative and credit investors, pension and insurance institutions, family offices, and other institutional capital providers. The team has raised more than $105 billion globally for clients.

Key responsibilities

  • Partner with clients and industry coverage teams to assess the best transaction structure and build financial models for potential deals.
  • Identify the most appropriate investor set for each mandate and communicate with investors throughout the outreach and relationship-building process, including bilateral discussions and broader investor identification efforts.
  • Prepare marketing, process, and transaction materials, including term sheets.
  • Manage day-to-day execution from launch to signing, coordinating investor outreach, due diligence, management meetings, internal workstreams, and overall transaction progress.
  • Review investor proposals, compare key commercial terms, and support modelling of returns under different structures. Assist with final negotiations.
  • Help create presentation materials for JPMorgan clients in collaboration with industry and other product teams.
  • Take on increasing responsibility over time in a fast-moving, high-deal-flow, and relatively flat team structure.

Required profile

  • 1-2 years of full-time investment banking experience, preferably in M&A or coverage roles with strong M&A execution exposure.
  • Genuine interest in private capital markets, minority investments, and structured transactions, including an understanding of shareholder and governance arrangements.
  • Willingness to work across sectors and contribute to a broad range of complex transactions.
  • Strong financial modelling and technical skills, along with solid corporate finance knowledge.
  • Ability to work across the capital spectrum and adapt to creative structures, including capital structure analysis and investor return modelling.
  • Comfort communicating with clients and investors.
  • Capacity to own workstreams across a transaction and collaborate with industry and product teams.
  • Self-starter who can handle multiple live deals at once while managing priorities and deadlines.

Preferred background

Experience in M&A or capital raising, including equity financing and/or debt or leveraged finance, is preferred.
