Job description
Role Summary
This leadership role oversees governance, risk, compliance, and board secretariat activities for a confidential government organization in Riyadh. The position requires close partnership with the Board, executive leadership, auditors, and regulators to ensure strong governance discipline, effective risk oversight, and full regulatory compliance.
Board Affairs and Corporate Secretariat
- Coordinate all meetings for the Board of Directors and its committees, including Audit, Risk, and Nomination & Remuneration bodies.
- Prepare meeting agendas, board packs, and presentation materials and ensure they are circulated on time.
- Draft precise minutes of meetings and document formal board resolutions.
- Track follow-up items and work with senior management to confirm completion of board decisions.
- Provide guidance to the Board and executive team on governance standards, legal obligations, and regulatory expectations.
- Support annual board effectiveness reviews and oversee induction for newly appointed board members.
Corporate Governance
- Build, refine, and maintain the corporate governance framework in line with local rules and globally accepted practices.
- Manage the Delegation of Authority matrix and ensure it is implemented consistently across the organization.
- Lead the review, drafting, and revision of policies, charters, and codes of conduct.
Risk Management
- Design and drive the enterprise risk management approach and supporting framework.
- Run risk identification, evaluation, and mitigation exercises across business units.
- Maintain the risk register and present key risk indicators to the Risk Committee and the Board.
- Contribute to the creation and testing of business continuity plans and disaster recovery arrangements.
Compliance
- Ensure adherence to all relevant local and international laws, sector regulations, and licensing obligations.
- Carry out internal compliance checks and collaborate with internal and external auditors to close out findings.
- Prepare statutory and regulatory submissions for authorities such as the Capital Market Authority, Central Bank, and Ministry of Commerce where required.
- Administer whistleblowing channels and investigate suspected ethical breaches or compliance issues.
Qualifications and Experience
- A bachelor’s degree in Law, Business Administration, Finance, or a related discipline is required; a master’s degree or MBA is strongly preferred.
- At least 8 to 10 years of experience in corporate governance, risk management, compliance, or legal functions.
- At least 3 years of experience in a board-facing or corporate secretary capacity.
- Professional certifications such as CCGP, CRM, CCP, or Corporate Secretary Certification are highly desirable.
