Job description
Job purpose
This position acts as the main connection point between the Board of Directors, its committees, and executive leadership. The role focuses on keeping board activities running efficiently, upholding strong governance practices, ensuring statutory and regulatory compliance, and supporting the Chairman and board members with high-level administrative and advisory assistance.
Board and committee operations
- Oversee the full lifecycle of board and committee meetings, including calendar coordination, logistics, and technology readiness.
- Draft, validate, and circulate agendas, board materials, and presentation decks securely and within required timelines.
- Participate in all board and committee meetings and prepare accurate minutes, resolutions, and final records for archiving.
- Monitor follow-through on board and committee decisions and coordinate action item completion with executive management.
- Plan and administer Annual General Meetings and Extraordinary General Meetings.
Corporate governance and compliance
- Ensure board and committee activities remain aligned with applicable legal, statutory, and regulatory obligations, including requirements from the Ministry of Commerce and Capital Market Authority.
- Develop, maintain, and revise the Corporate Governance Manual, Board Charters, and Committee Terms of Reference.
- Track conflicts of interest and verify that board members make the required disclosures.
- Support the yearly evaluation process for board and committee performance.
Communication and advisory support
- Serve as the trusted governance advisor and primary contact for board members on policy, process, and compliance matters.
- Ensure effective coordination and information flow between the Board of Directors and executive management.
- Offer practical advice on governance standards, leading practices, and new developments in the field.
Onboarding and member support
- Create and run induction and onboarding programs for newly appointed board and committee members.
- Coordinate ongoing learning and development initiatives to keep members informed about market changes and regulatory updates.
- Administer remuneration and compensation activities for board and committee members in line with company policy.
Documentation and records
- Safeguard confidential statutory books, registers, and official company records.
- Maintain secure custody of the company seal and core governance documents.
Qualifications and experience
A bachelor’s degree in Law, Business Administration, Finance, Corporate Governance, or a similar discipline is required. A master’s degree is preferred. The ideal candidate should have 8 to 10 years of experience in corporate governance, legal affairs, or a board secretariat function, including at least 3 years in a managerial or leadership role. Professional credentials such as ICSA, CGI, or an equivalent corporate governance or corporate secretaryship certification are strongly preferred.
