Role Overview
In this position, you will be responsible for handling corporate secretarial and compliance matters across a client portfolio. The work includes keeping statutory records up to date, preparing meeting minutes and resolutions, coordinating with shareholders, and ensuring corporate actions comply with Singapore’s legal and regulatory requirements. A solid grasp of the Singapore Companies Act 1967, the Immigration Act, and related regulatory frameworks is important, along with strong communication skills and the ability to juggle multiple client accounts efficiently.
Key Duties
- Take ownership of the full range of corporate secretarial tasks for assigned clients and complete them promptly.
- Support the setup of new companies, registration of branches and other business entities, and the striking-off process where needed.
- Prepare and submit share-related paperwork, including transfers, allotments, and capital adjustments.
- Draft directors’ and shareholders’ resolutions, meeting minutes, and lodge required documents with ACRA, IRAS, MOM and other statutory authorities.
- Attend board and general meetings and produce accurate minutes afterward.
- Keep minute books, statutory registers and client records current and properly organised.
- Assist with Ministry of Manpower work pass applications.
- Contribute to KYC onboarding checks and ongoing monitoring of regulatory compliance.
- Follow AML, CPF/CFT controls, procedures and good practice standards.
- Respond to auditor queries for clients and coordinate with auditors during statutory audit preparation.
- Build and maintain strong working relationships with clients, external advisers, intermediaries and internal colleagues.
- Improve workflow efficiency within your area while delivering timely and professional service.
- Carry out additional secretarial and administrative work as required to support the department.
Requirements
- Ideally a CSIS/ICSA (formerly SAICSA) graduate, or holding a Diploma/Degree in Business Administration or Law, or currently working toward a relevant professional qualification.
- At least 2 years of corporate secretarial experience in Singapore.
- Good working knowledge of the Singapore Companies Act 1967, Corporate Service Providers Act 2024, and related guidance such as requirements for registered corporate service providers, registers of registrable controllers, and rules for companies, foreign companies and LLPs.
- Comfortable using ACRA BizFile and the IRAS stamp duty portal.
- Competent with computers and MS Office tools.
- Fluent in English and Mandarin, with the ability to communicate with Mandarin-speaking clients.
- Careful, dependable, proactive and able to handle several tasks and deadlines at once.
- Well organised with strong time management skills.
- Willing to learn and keen to deepen knowledge in corporate secretarial work.
- Positive about coaching, guidance and training.
- Strong client servicing, relationship management and communication skills.
