Role Overview
We are seeking an experienced and detail-focused Legal Operations / Corporate Paralegal passionate about startup environments and eager to contribute to scalable legal process development. This role supports corporate governance, contract management, legal operations, equity processes, compliance, and cross-departmental legal workflows. Close collaboration with Legal, Finance, Sales, HR, Security, Operations teams, and external counsel is integral in ensuring efficient, accurate, and legally disciplined operations.
Key Responsibilities
- Maintain and organize corporate records, including minute books, board and stockholder documentation, written consents, and resolutions.
- Assist in preparing and executing board and committee materials, stockholder consents, and approvals.
- Manage company entity administration such as annual filings, registered agents, officer/director updates, and certificates of good standing.
- Support corporate transactions, audits, financings, due diligence efforts, and strategic projects.
- Oversee contract intake, routing, approvals, execution, filing, and tracking systems.
- Organize legal document repositories encompassing customer, vendor, partner agreements, NDAs, order forms, and amendments.
- Monitor contractual terms, renewal dates, obligations, approval status, and maintain executed agreements.
- Assist with routine legal documents, including NDAs, vendor and partner agreements, customer contracts, order forms, and amendments.
- Support equity-related activities such as stock option documentation, grant approvals, board consents, record-keeping, and platform coordination.
- Help manage documentation for 409A valuations, financing records, cap tables, and related legal filings.
- Coordinate legal contributions for customer questionnaires, vendor onboarding, compliance materials, insurance certificates, business licenses, and regulatory documents.
- Facilitate legal billing, liaise with outside counsel, track budgets, and manage legal matters.
- Collaborate cross-functionally with Sales, Finance, HR, and Security teams to enhance legal response efficiency, process uniformity, and alignment with business needs.
- Handle confidential information responsibly with discretion and professionalism.
Candidate Requirements
- Minimum 5 years of experience as a paralegal, in corporate legal, or legal operations roles, preferably within technology, SaaS, cybersecurity, or high-growth companies.
- Proven expertise in corporate governance, legal record management, contract administration, and legal document maintenance.
- Experience supporting board materials, corporate filings, stockholder consents, equity documentation, and financing transactions.
- Competence in managing contract workflows, signature processes, repository organization, and contract tracking systems.
- Familiarity with legal operations and business technology platforms such as DocuSign, Carta, or similar tools.
- Exceptional attention to detail coupled with superior organizational skills.
- Effective written, verbal, and interpersonal communication capabilities.
- Self-driven with accountability and an ability to operate independently.
- Business-oriented approach balancing legal rigor with operational efficiency.
- High ethical standards and discretion in handling sensitive company data.
- Collaborative mindset with proactive enthusiasm.
- Paralegal certification or equivalent practical experience is preferred.
