Role Overview
We are looking for a seasoned Company Secretary to uphold outstanding corporate governance and ensure full regulatory compliance throughout the organization's operations. In this pivotal position, you will act as the central liaison among management, the Board of Directors, shareholders, and regulatory bodies. The successful candidate will bring profound expertise in corporate law, exceptional organizational capabilities, and diplomatic skills to advise senior stakeholders effectively.
Key Responsibilities
- Provide strategic counsel to the board on best practices in corporate governance, adherence to ethical standards, and risk mitigation.
- Continuously track statutory changes and legal evolutions to revise company policies accordingly.
- Educate board members about their legal obligations, responsibilities, and corporate authority.
- Plan and coordinate board meetings, committee sessions, and Annual General Meetings (AGMs) efficiently.
- Prepare meeting agendas, notifications, and detailed board documentation 10–14 days in advance.
- Document official minutes, draft legally sound resolutions, and monitor follow-up actions after meetings.
- File regulatory documents including annual returns, financial reports, and directors’ statements with government authorities.
- Maintain mandatory statutory registers such as shareholder records, director listings, asset charges, and debenture details.
- Lead compliance audits and collaborate with internal and external auditors to secure certifications.
- Administer share transfers, stock certificate issuance, and dividend payments.
- Manage share option plans and oversee significant capital transactions like mergers and public offerings.
- Serve as the primary contact for shareholder inquiries, proxy voting, and investor communications.
Required Qualifications and Experience
- Must possess a professional certification as a licensed Company Secretary (e.g., ICSI, ICSA, or CGI).
- Holds a Bachelor’s or Master’s degree in Corporate Law, Business Administration, or Finance.
- Brings 3 to 7+ years’ experience as a Company Secretary or relevant corporate compliance role.
- Demonstrates in-depth knowledge of the Companies Act, securities and capital market laws, and secretarial standards.
- Proficient with entity management software, secure board portals, and regulatory filing systems.

- Maintains utmost discretion handling sensitive and confidential information.
- Possesses clear and effective verbal and written communication to simplify complex legal matters.
- Exhibits diplomacy and emotional intelligence to manage diverse senior leadership viewpoints tactfully.

- Achieve zero compliance violations including penalties or late fees from missing regulatory deadlines.
- Ensure board meeting materials are compiled and issued within scheduled timelines consistently.
