Company Secretary - Listed Company Compliance Specialist

About the Role

We are seeking a qualified Company Secretary to join our energetic team at IntraSoft Technologies, located at 145 Rash Behari Avenue, Kolkata. This role focuses on ensuring compliance with regulations relating to listed companies, including adherence to SEBI guidelines, RBI, MCA, and ROC requirements.

Key Responsibilities

• Ensure compliance with SEBI regulations including Listing Obligations and Disclosure Requirements (LODR), Prohibition of Insider Trading (PIT), and Substantial Acquisition of Shares and Takeovers (SAST).
• Manage FEMA and RBI related compliances.
• Adhere to the Companies Act provisions and related ROC filings and secretarial obligations.
• Oversee secretarial functions connected to Board Meetings, Annual General Meetings, and other corporate events; responsibilities include the preparation, review, and distribution of notices, agendas, minutes, and board resolutions.
• Maintain up-to-date statutory registers and corporate records.
• Coordinate timely secretarial audits and ensure the completion of annual compliance certifications.

Candidate Profile and Requirements

• Associate Member of the Institute of Company Secretaries of India (ICSI) - qualified Company Secretary.
• Strong verbal and written communication skills.
• Proficiency in computer applications such as Excel, Word, and PowerPoint.
• Experience ranging between 2 to 6 years in a similar company secretarial role.
• Educational qualification: Graduate (10+2+2/3).

Additional Details

• Work schedule: Monday to Friday from 11:00 AM to 8:00 PM; Saturday from 11:00 AM to 3:30 PM.
• Work location: Rash Behari Avenue, Kolkata.
• Annual salary range: INR 600000 to INR 1000000.
