Role overview

Reporting to the Senior Company Secretary, this position plays an important role in strengthening governance across a growing international fintech group. The successful candidate will help support subsidiary boards, keep corporate records accurate, and contribute to wider group governance processes.

The company is seeking someone who is driven, ambitious, and comfortable working in a collaborative, fast-moving environment where improvement and ownership are encouraged.

Key responsibilities

You will provide end-to-end support for subsidiary boards across UK and international entities, help keep governance processes running smoothly, and work closely with internal stakeholders on corporate administration matters.

  • Provide full board support for a busy subsidiary business and its UK and overseas subsidiaries and branches, including smooth information flow, high-quality board papers, and reliable governance guidance.
  • Prepare board and shareholder resolutions for both routine and one-off matters, and coordinate internal sign-offs for changes such as director updates, name changes, registered office amendments, and year-end approvals.
  • Lead the company secretarial workstream for international expansion initiatives, including the setup of new branches and subsidiaries.
  • Handle Companies House and local registry filings while keeping statutory registers current and accurate.
  • Maintain detailed internal entity records and manage board distribution through entity management tools and the board portal.
  • Support statutory, regulatory, and corporate governance obligations across the group, including contributions to the Annual Report and AGM planning.
  • Assist with governance and administration for employee share schemes in partnership with the external share plan administrator.
  • Share knowledge with colleagues and help support the development of the Junior Company Secretarial Assistant.
  • Bring a practical, improvement-focused, and risk-aware approach to the day-to-day work of the Group Company Secretariat team.

Requirements

  • At least 3 years of experience in a busy company secretarial function, with direct exposure to supporting operating subsidiary boards.
  • Professional company secretarial qualification such as CGI Grad or ACG.
  • Hands-on experience using entity management software and board portals such as GEMS, BoardVantage, or a similar platform.
  • Strong interpersonal and communication skills, including confidence when dealing with senior leaders.
  • Ability to manage confidential and sensitive information with discretion.
  • Well organised, accurate, and able to prioritise effectively in a fast-paced setting.
  • A flexible, proactive attitude with a strong sense of accountability, and the ability to work independently as well as part of a team.
  • Preferred: experience in company secretarial work within financial services.
  • Preferred: prior involvement in the governance and administration of employee share schemes.
