Role Overview and Responsibilities
As a Governance Manager, you will be accountable for crafting and executing the corporate governance strategy aligned with our organizational goals. Your role includes evaluating and enhancing governance practices by identifying potential improvements and driving implementation plans. Ensuring compliance with relevant laws, regulations, and internal guidelines is critical. You will manage governance-related risks and ensure transparency and accountability throughout the company. Regular preparation and delivery of governance reports to senior executives and the Board of Directors is required. Additionally, you will provide expert guidance on governance issues to senior leadership, nurture productive stakeholder relationships, and cultivate a robust governance culture within the organization. Staying current with evolving governance regulations and industry best practices is essential. Other tasks may be assigned by your direct supervisor.
Qualifications and Requirements
- A Bachelor’s degree in Law, Business Administration, Finance, or a closely related discipline.
- At least five years of professional experience in Corporate Governance or Compliance functions.
- Comprehensive understanding of corporate governance frameworks, regulatory requirements, and compliance standards.
- Experience with Saudi Corporate Governance Regulations and/or the Capital Market Authority Governance Regulations is strongly preferred.
- Proficiency in both written and spoken English.
- Exceptional analytical capabilities, reporting expertise, and problem-solving skills.
- Strong communication and presentation abilities, with experience engaging senior management and Board members.
- Familiarity with Microsoft Office tools.
