About the Role

An exciting full-time position is available for a qualified Company Secretary to join a growing international organization operating within a highly regulated industry based in Dublin. Reporting directly to the Head of Legal, this role offers a unique combination of traditional Company Secretariat duties alongside responsibilities in legal operations, contract governance, and process enhancements across multiple jurisdictions.

Key Responsibilities

  • Serve as Company Secretary or Deputy across various entities, managing end-to-end Board and Committee governance.
  • Prepare comprehensive Board materials including packs, meeting documents, resolutions, and minutes.
  • Maintain statutory registers, corporate records, and ensure timely statutory filings.
  • Support continuous governance improvements and review exercises.
  • Handle contract governance including NDA management, maintain contract registers, monitor obligations, renewals, and risks.
  • Drive legal operational efficiencies through process improvements and effective document management procedures.
  • Oversee compliance and risk management activities including KYC procedures, due diligence, and third-party onboarding.
  • Act as a primary contact for governance matters, fostering relationships with Board members, executives, external advisers, and service providers.
  • Assist with governance reporting and legal risk management tasks.

Candidate Profile

The ideal candidate is a professionally CGI-qualified (or similarly recognized) Company Secretary with proven experience in Company Secretariat, Governance, or Legal Operations roles. The candidate must possess strong familiarity with Irish and/or UK corporate governance standards and a track record supporting Boards and Committees through minute taking, drafting resolutions, and preparing board papers.

Essential Skills and Qualifications

  • Recognized Company Secretarial qualification such as CGI.
  • Experience in Company Secretariat or Legal Operations.
  • Strong knowledge of Irish/UK corporate governance.
  • Proficiency supporting Boards and Committees including drafting minutes and resolutions.
  • Excellent organizational, communication, and stakeholder management capabilities.
  • High attention to detail with a proactive governance approach.

Desirable Attributes

  • Experience with multi-jurisdictional governance frameworks.
  • Exposure to regulatory and compliance environments.
  • Familiarity with contract lifecycle and NDA management.
  • Experience implementing governance frameworks and enhancing processes.
  • Knowledge of KYC and third-party risk management protocols.
