Position Overview

The General Counsel will act as the principal legal authority within BAM, reporting directly to the Chief Business Officer. This pivotal role requires leadership over all legal aspects related to fund formation, capital raising, real estate transactions, corporate governance, compliance monitoring, and risk management. The counsel will collaborate closely with principals, investment, capital markets, and sales teams to ensure legal soundness and transaction success. This role involves active legal engagement rather than supervising external counsel remotely.

Key Responsibilities

• Lead the drafting and structuring of private placement memoranda, operating agreements, and subscription documents for real estate funds and preferred equity offerings.
• Ensure strict compliance with Regulation D, state blue sky laws, and other securities regulations relevant to offerings targeting accredited and high-net-worth investors.
• Manage investor communications and disclosure obligations with alignment to regulatory and offering document requirements.
• Stay abreast of regulatory changes impacting real estate syndications and private placements.
• Negotiate and finalize real estate acquisitions, dispositions, joint ventures, and preferred equity investments, including preparation of purchase/sale agreements, joint venture agreements, loan documents, and guarantees.
• Coordinate with local legal counsel on matters of entity formation, title, zoning, and land use across various jurisdictions.
• Review and negotiate senior debt financing and intercreditor agreements in partnership with capital markets.
• Oversee corporate governance and compliance across BAM’s corporate entities and special-purpose vehicles, maintaining corporate records and ownership structures.
• Develop and uphold the company’s compliance framework, addressing AML/KYC policies for investor onboarding.
• Manage insurance, litigation exposure, and dispute resolution processes.
• Provide counsel on employment-related legal issues, including agreements with sales and executive staff.
• Serve as the regulatory liaison for audits, inquiries, and examinations.
• Advise leadership on legal risks associated with deal evaluations and investment decisions.
• Build and expand the legal department as BAM grows its fund and investment offerings.
• Manage legal relationships and expenditures with external counsel in securities, tax, real estate, and litigation matters.

Qualifications

• Juris Doctor degree from an accredited law school with active, good-standing bar admission (preferably Indiana, or willingness to obtain).
• Over 8 years of relevant legal experience involving real estate private equity, fund formation, or securities law, including both law firm and in-house backgrounds.
• Expertise in Regulation D offerings, private placement documentation, and syndicated real estate fund structures.
• Strong command in negotiating and drafting complex legal agreements such as limited partnership, joint venture agreements, private placement memoranda, and financing documents.
• Familiarity with multifamily or commercial real estate transactions and terminology (title, survey, zoning) is highly desirable.
• Proficient with Microsoft Office products, primarily Word and Excel.
• Experience or knowledge of emerging compliance issues involving artificial intelligence tools such as Claude and Gemini is a plus.
• Outstanding communication skills for translating complex legal matters to non-legal stakeholders, including investors and sales leadership.
• Demonstrated sound business judgment balancing legal risks against commercial priorities.

Compensation and Benefits

• Annual base salary between $165,000 and $185,000, plus potential 50% bonus.
• Immediate entitlement to 14.5 paid holidays, with 88 hours of paid time off allocated after 90 days, increasing to 120 hours after one year.

Work Conditions

This full-time role is based in Carmel, Indiana, working primarily in a professional office with standard equipment. Work hours vary Monday through Friday, with occasional local business-day travel and some out-of-area trips possible.
