Role Responsibilities

• Analyze transaction structures in depth by collaborating closely with private equity deal teams to comprehend deal components, identify involved entities, and assess risks related to AML, bribery, financial crime, and reputation.
• Investigate complicated ownership and control structures including fund vehicles, SPVs, partnerships, and trusts to form a complete and accurate understanding of parties behind every transaction.
• Coordinate the collection of necessary materials by engaging with deal teams, legal and compliance departments, and counterparties to ensure timely and thorough KYC documentation.
• Ensure all deals comply with AML/CTF legislation, internal standards, and jurisdictional regulations through partnership with clients’ legal and compliance teams, proactively flagging issues to prevent closing delays.

Team Environment

The successful candidate will join the Compliance – Transactional Sub Division within Carta Law. This team operates at the nexus of private equity transaction diligence and regulatory compliance. They conduct detailed KYC on complex asset management entities to validate that all supported transactions meet compliance standards. Interaction with deal professionals, lawyers, and compliance officers on live transactions involving multi-jurisdictional fund structures and SPVs is integral to the role.

Candidate Profile

• Possesses early-career experience, with 1-2+ years in legal or compliance roles, internships, or graduate positions that include knowledge of legal administration, document review, and regulatory compliance.
• Exhibits strong analytical skills and attention to detail, carefully processing complex information and clearly documenting key points.
• Communicates effectively both in writing and speaking, providing professional and confident dialogue with colleagues and clients.
• Demonstrates strong organizational skills, managing multiple deadlines under pressure while maintaining accuracy, and thrives in a dynamic compliance environment.
• Shows interest in private market structures and regulations; familiarity with fund structures, offshore jurisdictions such as Cayman or Luxembourg, and KYC tools (e.g., WorldCheck, Refinitiv, RDC) is advantageous. Certifications like ICA or ACAMS are beneficial.
