Job description

Job Overview

This position involves managing statutory compliances as per the Companies Act, 2013 and other applicable corporate laws, particularly for entities in the Energy Sector. The role includes organizing Board and General Meetings, maintaining statutory company records, and supporting issuance of shares, securities, restructuring, and fund-raising activities.

Key Responsibilities

  • Ensure adherence to RBI and FEMA regulations and compliance requirements.
  • Monitor ongoing operations and management activities to guarantee alignment with legal statutes and corporate agreements.
  • Take proactive steps to enhance and sustain the Corporate Governance framework within the GMR Group’s Energy Sector.
  • Manage incorporation, winding up, or striking off of companies under relevant laws.
  • Assist during audits and due diligence processes.
  • Efficiently operate compliance software such as Legatrix and the DESS board meeting platform.
  • Liaise with board members, statutory auditors, consultants, and regulatory authorities as necessary.

Stakeholder Interactions

External: Engage with statutory authorities including Registrar of Companies, Depositories (NSDL, CDSL), Stock Exchanges, Registrar & Transfer Agents, statutory and secretarial auditors, legal consultants, PE investors, lawyers, banks, and financial institutions.

Internal: Collaborate with group-wide finance and legal teams, plant and business units, internal directors, senior management secretaries, internal auditors, and other departments.

Financial and Organizational Context

The Company Secretary role functions as a Key Managerial Personnel (KMP) within the company and cannot be outsourced due to statutory requirements. The position demands an in-house executive to handle secretarial functions operationally and managerially.

Educational and Experience Requirements

  • Graduate degree and an Associate Membership of the Institute of Company Secretaries of India (ICSI).
  • Professional experience ranging from 1 to 3 years in relevant legal and secretarial functions.
