Key Responsibilities
- Serve as the main contact for company secretarial services for a portfolio of regulated funds and Irish companies.
- Coordinate board meeting schedules including sending calendar invites and managing key dates with Directors.
- Prepare comprehensive board meeting agendas adhering to all regulatory demands.
- Compile board materials into both physical and digital board packs for timely distribution.
- Organize logistics for board meetings and participate to record detailed minutes.
- Draft and distribute board minutes and follow-up action lists within agreed timelines.
- Support general meetings when needed, including drafting notices, managing proxy forms, and confirming quorum for meetings.
- Prepare and file annual returns with the Companies Registration Office and relevant Central Bank filings as applicable.
- Maintain statutory books and corporate records accurately.
- Delegate and manage junior team members’ daily workloads effectively.
- Contribute to the training and development of junior staff.
- Ensure compliance with internal policies and established procedures.
- Maintain strong relationships with all involved stakeholders efficiently.
- Participate actively in internal projects and improvement initiatives.
Experience, Skills and Qualifications
- At least 7 years’ experience as a company secretary within the regulated funds sector.
- In-depth understanding of the Companies Act and corporate governance standards for regulated entities.
- Proven ability to perform in fast-paced professional settings, emphasizing meticulous attention to detail and multitasking.
- Demonstrated experience managing key stakeholder relationships autonomously.
- Proficiency with Microsoft Office applications and document management in PDF format.
- Strong communication and organizational skills paired with an enthusiastic, resourceful, and adaptable approach to client-facing roles.
