Overview
Foxhog Ventures India Limited seeks a competent and commercially savvy Legal Officer to manage various legal functions including investment transactions, contract oversight, compliance with statutory regulations, and dispute resolution. This role demands exceptional legal expertise, communication skills, and a professional demeanor to effectively support the company's legal needs.
Key Duties
- Draft, evaluate, modify, and negotiate a range of commercial and corporate agreements, establishing and updating standard legal templates accordingly.
- Oversee the full life cycle of agreements from drafting to execution, renewal, and termination, ensuring proper organization of signed documents and monitoring contractual commitments and deadlines.
- Prepare and review essential investment-related documents, including Share Subscription and Shareholders’ Agreements, term sheets, share-purchase agreements, and support due diligence processes.
- Coordinate with founders, investors, external counsel, and advisors to facilitate closing of investment deals, prepare closing checklists, and track conditions precedent and subsequent fulfilment.
- Handle corporate compliance under the Companies Act and Ministry of Corporate Affairs’ regulations by managing filings, statutory documents, board and shareholder meetings, and liaising with company secretaries.
- Draft, examine, and negotiate financial instruments such as loan agreements, guarantees, and security documents, collaborating with finance teams and ensuring alignment with commercial terms.
- Manage civil litigation activities by drafting notices, assisting in dispute resolution, coordinating with legal representatives, maintaining records related to case progress, and conducting legal research to advise management on risks and settlements.
Qualifications and Experience
- LL.B. degree from an accredited university.
- Preferred enrolment with a State Bar Council in India.
- 2 to 5 years of relevant experience within legal firms, investment companies, financial institutions, corporate legal teams, or startups.
- Strong background in corporate agreements and investment documentation.
- Proficient knowledge of the Companies Act, Indian Contract Act, and corporate/commercial laws, including MCA procedural knowledge.
- Experience handling investment transactions, financing documentation, and civil litigation.

- Proven negotiation skills on Share Subscription and Shareholders' Agreements, investment contracts, and term sheets.
- Understanding of corporate and commercial transaction frameworks.

- Confidence in communication with stakeholders including founders, investors, senior management, lawyers, and government officials.

Compensation
