Governance Manager

Overview

The Governance Manager plays a crucial role in supporting the General Counsel by managing the Board Secretary responsibilities and ensuring the seamless operation of the corporate governance framework at the General Commercial Gaming Regulatory Authority (GCGRA). This position involves organizing Board and Committee engagements, ensuring adherence to governance standards, maintaining essential corporate records, and overseeing the execution of Board directives and departmental action items.

Key Responsibilities

• Assist the General Counsel with Board Secretary duties, coordinating meetings for the Board and its Committees including preparation of agendas, documents, presentations, and logistics.
• Document and maintain accurate minutes, resolutions, action points, and governance-related records for Board and Committee meetings.
• Monitor completion of Board and Committee decisions and outstanding tasks.
• Ensure governance policies, Board records, statutory registers, and corporate documentation comply with legal and internal standards.
• Support continuous enhancement of governance structures, policies, and procedures.
• Carry out legal and regulatory research, and prepare concise summaries, briefs, and reports.
• Draft and review governance, legal, and corporate documents in English and Arabic.
• Manage sensitive legal files, investigate regulatory matters, and handle confidential submissions.
• Track deadlines for governance, legal, and regulatory requirements to ensure timely fulfilment of responsibilities.
• Manage the General Counsel’s schedule, including meetings, travel, and administrative tasks with effective prioritization.
• Coordinate communication on behalf of the General Counsel, ensuring efficient correspondence and stakeholder follow-ups.
• Oversee progress of projects and action items within Legal, Compliance, and Governance units, reporting regularly to the General Counsel.
• Prepare briefing kits, reports, presentations, and formal communications for senior leadership, Board members, regulators, and external parties.
• Maintain an organized and secure filing system for all legal, governance, and corporate documents, ensuring proper accessibility and confidentiality.
• Arrange executive meetings, workshops, and engagements, managing preparatory materials and logistics.
• Serve as the centralized coordinator between Legal, Compliance, and Governance departments to ensure smooth document circulation and timely completion of deliverables.
• Maintain strict confidentiality regarding Board materials, regulatory affairs, and executive communications.
• Contribute to the improvement of departmental policies, templates, and administration to boost efficiency.
• Assist in preparing and coordinating annual governance work plans, calendars, and reports for Board and Committees.

Qualifications

• Bachelor’s degree in Law, Corporate Governance, Business Administration, or related discipline.
• Between 6 to 9 years of experience in corporate governance, Board Secretariat functions, legal operations, or executive roles within a regulated environment.
• Comprehensive understanding of corporate governance principles and UAE regulatory frameworks.
• Exceptional skills in drafting, research, organization, and managing stakeholder relations.
• Proficient in both written and spoken English; Arabic language skills are advantageous.
• Demonstrates high standards of professionalism, integrity, and confidentiality.
