About the Role

We are looking for a seasoned Contract Attorney to join our dynamic software company. The role involves drafting, reviewing, negotiating, and managing various commercial contracts with both prospective and current clients. This position works collaboratively with the Sales, Customer Success, Finance, and Executive teams to ensure contracts are executed promptly while safeguarding the organization's legal and business interests.

The ideal candidate possesses hands-on experience negotiating SaaS contracts, understands enterprise software transactions, and is adept at balancing legal risks with business goals.

Key Responsibilities

Create, review, and negotiate a broad range of commercial agreements.
Collaborate with Sales and Customer Success teams to negotiate customer contracts and expedite deal completion.
Offer practical, business-focused legal counsel about contract terms, risk distribution, compliance, and commercial matters.
Identify legal and operational risks and propose solutions aligned with business goals.
Enhance and maintain standard contract templates, fallback provisions, and negotiation guidelines.
Manage customer and vendor contracts when necessary.
Assist in due diligence processes involving prospects and clients.
Handle additional commercial legal issues as assigned.

Required Qualifications

Juris Doctor (J.D.) degree from an accredited law school.
Active license to practice law in at least one U.S. jurisdiction in good standing.
Between 2 to 5 years of experience in commercial contract law.
Proven track record drafting and negotiating SaaS or enterprise software contracts.
Strong grasp of commercial contracting concepts and risk mitigation.
Excellent written and oral communication abilities.
Capable of managing multiple tasks and meeting deadlines in a fast-paced setting.
Sound business judgment coupled with a collaborative working style.

Preferred Qualifications

Knowledge of privacy and data security laws such as HIPAA, GDPR, and other data protection frameworks.
Experience dealing with enterprise clients and complex commercial negotiations.
Expertise with intellectual property matters relevant to SaaS firms, including IP protection, patents, and trademarks.
Background in the healthcare industry.
