Key Responsibilities

  • Lead financial due diligence of acquisition candidates, analyzing earnings quality, working capital, revenue consistency, customer concentration, and liabilities.
  • Develop acquisition models including purchase price allocation, accretion/dilution impacts, synergy estimations, and modeling integration costs after acquisition.
  • Spot and report potential risks and inconsistencies within target financial statements.
  • Collaborate with external legal counsel, auditors, and advisors during focused due diligence periods.
  • Create and update comprehensive financial models such as three-statement forecasts, cash flow projections, and sensitivity analyses.
  • Support funding round modeling including capitalization table and dilution analysis.
  • Generate unit economics metrics and cohort analyses relevant to loyalty and membership business models, such as LTV/CAC, churn, and retention.
  • Prepare high-quality presentation materials for board members and investor communications.
  • Assist in establishing financial systems, controls, and regular reporting suited to an evolving institutional business.
  • Contribute to the development of financial narratives, key performance indicator frameworks, and documentation meeting disclosure standards.
  • Engage with bankers, auditors, and legal teams during corporate transactions as necessary.

Required Qualifications and Skills

  • 3 to 6+ years of professional experience in fields such as investment banking, private equity, corporate development, transaction advisory (including Big 4 or Transaction Services), or corporate finance/FP&A roles in high-growth startups with substantial modeling responsibilities.
  • Proven ability to build financial models from scratch, not just modify existing ones.
  • Direct experience conducting due diligence on active deals, either buy-side or sell-side, with familiarity operating in data rooms.
  • Exceptional attention to accuracy; all financial figures must reconcile perfectly.
  • Significant exposure to corporate transactions like mergers & acquisitions, capital fundraising, restructurings, or public listings (including S-1 filings or international equivalents) is highly preferred.
  • Advanced proficiency in Excel for financial modeling and PowerPoint for executive and investor presentations.
  • Comfortable working independently alongside founders and executives, confidently challenging assumptions with data when necessary.
  • Certifications such as CPA, CFA, or an MBA are advantages but not mandatory; practical deal experience and modeling precision are prioritized.
