Job Overview

This position is an on-site role in Singapore focused on managing comprehensive corporate delivery and ensuring statutory compliance aligned with the responsibilities of a Singapore Company Secretary. The specialist will administer full corporate services for Private Limited companies in Singapore, such as company incorporation, profile modifications, statutory filings, official document handling, and governance administration. The role demands adherence to the Singapore Companies Act and ACRA guidelines, independently handling corporate projects, compliance auditing, record management, and coordinating with various stakeholders. Timely and lawful completion of all corporate activities is critical to prevent regulatory issues while supporting consistent and superior overseas corporate service delivery.

Core Responsibilities

  • Manage the complete company incorporation process, including name approval, documentation, preparation of constitutional documents, ACRA submissions, collecting official certificates, and supporting corporate bank account setups.
  • Implement amendments to corporate profiles such as changes in directors, shareholders, equity shares, registered office, capital structure, company name, business scope, and company secretary details, ensuring statutory filings are done within the 14-day regulation from ACRA.
  • Conduct special corporate procedures like company strike-offs, dormant status applications, entity status changes, and business registration filings, ensuring progress tracking and resolution of any issues to guarantee compliant closure of projects.
  • Liaise with Singapore regulatory bodies (ACRA, IRAS); handle mandatory returns, financial statement submissions, and statutory updates to avoid penalties and compliance lapses.
  • Maintain and update statutory registers including directors, members, controllers, and manage official corporate seals and certification records, assuring accuracy and full compliance with legal standards.
  • Stay informed on current Singaporean corporate legislation and policies, refine internal workflows for best regulatory adherence, and enhance operational practices accordingly.
  • Plan and coordinate board meetings, Annual General Meetings, and other corporate meetings; manage notices, agenda setting, attendance tracking, minute-taking, and filing of resolutions.
  • Organize corporate documentation such as resolutions, compliance certifications, and filings into a standardized archive that complies with audit, due diligence, and inspection needs.
  • Engage customers directly to clarify project requirements, document collection, status updates, and deliver results effectively and professionally.
  • Monitor delivery timelines, mitigate bottlenecks, uphold service quality standards, and foster positive client relations for sustained cooperation.
  • Document delivery experiences and contribute to continuous improvement of workflows and standard operating procedures within the Singapore corporate services team.

Qualifications and Experience

  • Diploma or Bachelor’s degree in Law, Accounting, Business Administration, or related fields; candidates with internships or 1 to 3 years’ experience in Singapore corporate secretarial or corporate services sectors preferred.
  • Working knowledge of the Singapore Companies Act, ACRA filing requirements, and IRAS compliance basics; experience handling incorporation, amendment filings, and Annual Return processes is advantageous.
  • Proficient communication skills in English (written and spoken), alongside computer literacy in office software and online government systems.
  • Detail-oriented, responsible, and highly compliant work ethics; ability to independently manage projects, handle multiple tasks under pressure with strong logical reasoning and execution skills.
