Overview
Dagen is seeking an experienced Senior Contracts Specialist for a global EPC (engineering, procurement, and construction) firm located in the Energy Corridor, Houston, TX. This contract role requires onsite presence Monday through Thursday, with the option to work from home on Fridays. Qualified applicants will be considered for this position, which supports multiple legal functions including corporate governance, contract administration, compliance, and transactional assistance in a dynamic and multi-entity corporate setting.
Key Responsibilities
- Maintain and manage corporate records such as minute books, officer and director rosters, resolutions, and annual filings for U.S. and international subsidiaries.
- Prepare and submit state registrations, annual reports, certificates of status or good standing, and related filings accurately and on time.
- Draft standard corporate governance documents, including resolutions, consents, officer and incumbency certificates.
- Organize and support board and committee meetings by preparing agendas, assembling materials, handling logistics, and drafting minutes.
- Review, revise, and draft commercial agreements like NDAs, MSAs, SOWs, vendor agreements, and amendments.
- Oversee contract lifecycle management, including intake processes, monitoring tracking, controlling versions, and facilitating agreement execution.
- Collaborate with internal business units to ensure contractual compliance and adherence to approval workflows.
- Maintain and enhance contract templates and clause libraries to optimize contract drafting and negotiation.
- Assist in compliance program tasks such as updating policies, coordinating training, and supporting audits.
- Support regulatory filing processes for state agencies, Secretary of State, and industry-specific registrations.
- Conduct preliminary legal research on statutory and regulatory matters relevant to the organization.
- Assist attorneys with due diligence efforts, data room management, document compilation, and preparation of closing binders for mergers, acquisitions, financing, and other commercial transactions.
- Coordinate signature collections, execution processes, and management of closing deliverables.
- Function as a liaison between Legal and internal departments like Finance, HR, Operations, and Procurement.
- Contribute to process improvements, legal operations, and assist with technology implementations such as Contract Lifecycle Management (CLM) and entity management tools.
Qualifications
- Minimum of three years’ experience as a corporate paralegal in either a law firm environment or an in-house legal team.
- Robust knowledge of corporate governance, entity administration, and commercial contract management.
- Skilled in Microsoft Office and familiar with legal technology platforms including DocuSign, CLM systems, and entity management software.
- Excellent organizational capabilities with keen attention to detail and aptitude for handling multiple concurrent assignments.
- Strong written and verbal communication abilities.
- Experience within sectors such as energy, infrastructure, construction, or similar fields.
- Proven experience supporting multi-entity corporate structures.
- Possession of a paralegal certificate or a bachelor's degree.
