Role Overview

The Paralegal role within our Finance & Corporate department involves collaborating with legal teams to deliver exceptional legal services under tight deadlines. You will support lawyers by managing legal documentation, client communications, and transaction processes but will not provide direct legal advice to clients. Reporting directly to the department’s Partners, you will assist multiple lawyers and departments as needed.

Key Responsibilities

  • Drafting various legal documents, such as initial and revised memoranda and articles of association, board minutes, directors’ and shareholder resolutions, structured finance transaction documents, and legal opinions.
  • Supporting the management of conditions precedent and subsequent for finance transactions, including checklist maintenance and transaction deliverables.
  • Handling document management tasks like preparing execution versions and coordinating transaction closings.
  • Reviewing initial drafts of transaction documents and escalating critical issues to lawyers.
  • Ensuring timely filing of resolutions and amendments related to company documents and roles.
  • Administering billing and collections for assigned matters, including preparing quotes, invoices, and following up on payments.
  • Maintaining meticulous records and client correspondence files.
  • Carrying out company and court searches using CORIS and related databases.
  • Performing conflict of interest searches, assisting client onboarding processes, conducting KYC reviews, and managing matter openings.
  • Continuously updating personal legal knowledge and expertise relevant to the role.
  • Communicating with clients as directed by lawyers, maintaining professionalism and clarity.
  • Contributing to practice development by sharing knowledge and supporting seminars, training, and special projects.
  • Executing legal research and undertaking additional duties as required, including work outside normal hours.
  • Training and supervising junior paralegals or contract staff as needed, without direct managerial responsibility.

Qualifications and Skills

  • Law degree from a recognized institution, or qualified paralegal/admitted attorney with relevant legal experience.
  • Proficiency with Windows OS, Microsoft Word, Excel, and Outlook.
  • Familiarity with AI tools like Copilot and Harvey is advantageous.
