Role overview

The Legal Counsel will provide practical and timely legal guidance across the business to help Serko meet its strategic goals while staying aligned with governance expectations for NZX and ASX listed companies.

Commercial and operational legal support

  • Work with Sales, Product, and Commercial teams in New Zealand, Australia, and the United States to prepare and negotiate customer, reseller, strategic partner, and third-party technology agreements.
  • Support the secure sourcing of products and services by partnering with business leaders, security, and technology teams.
  • Advise on privacy and cookie compliance across multiple jurisdictions, including GDPR, CCPA, and New Zealand and Australian privacy laws, while keeping track of legal changes that may affect the business.

Corporate governance and listed-company matters

  • Assist with governance best practices, provide guidance on listing rules, and support annual shareholders meeting requirements for NZX and ASX obligations.
  • Contribute to financial reporting, ESG reporting, and climate-related disclosure work.
  • Advise on share scheme arrangements, including grant and vesting structures and related disclosure requirements.
  • Help maintain internal policies, develop legal templates, and manage compliance obligations for subsidiary entities.

Legal operations and capability building

  • Use legal technology and automation tools to streamline routine work and reduce friction in day-to-day legal processes.
  • Create and deliver training for internal teams on relevant legal topics.
  • Serve as the main contact for external legal advisers and coordinate their support.

What you'll need to succeed

  • Background in either private practice or an in-house legal environment.
  • Experience handling corporate law and corporate governance matters.
  • Strong ability to manage stakeholders, communicate effectively, and work well with others.
  • A proactive mindset with the ability to anticipate business needs and plan ahead.
  • Good analytical and problem-solving ability, along with careful attention to detail.
  • A Bachelor of Laws degree and a current New Zealand practising certificate.
