Role Overview and Responsibilities

The In-House Counsel acts as the main legal advisor for Flexware, providing strategic and practical legal support across all company operations. This role works closely with executive leadership and business units on a variety of legal areas including commercial operations, technology and software services, employment law, compliance, corporate governance, risk management, dispute resolution, and key business transactions. The counsel is the dedicated legal resource for Flexware, utilizing support from the JR Automation and Hitachi Americas legal teams.

• Offer legal guidance across all aspects of Flexware's business and strategic projects.
• Prepare, examine, and negotiate contracts such as commercial, technology, software, SaaS, vendor, confidentiality, and partnership agreements.
• Advise on intellectual property issues, software licensing, data rights, and technology-related legal matters.
• Assist executive leadership with risk evaluation, business strategies, and growth plans.
• Provide legal counsel on employment law and related HR issues as necessary.
• Guide compliance efforts including ethics, regulatory concerns, cybersecurity, data privacy, and corporate governance.
• Oversee dispute management, claims, litigation support, and coordination with outside counsel.
• Support legal aspects of acquisitions, integrations, joint ventures, and other strategic corporate transactions.
• Collaborate with internal legal teams within JR Automation and Hitachi to maximize legal resource sharing.
• Create and maintain legal policies, training programs, templates, and best practices for the company.

Qualifications

• Juris Doctor (J.D.) degree from an accredited law school.
• Active legal license and in good standing in at least one U.S. jurisdiction.
• Three to five years of legal experience in law firms, corporate legal departments, or both.
• Prior experience negotiating complex commercial and technology contracts is preferred.
• Experience as in-house counsel is advantageous.
• Strong abilities in contract drafting and negotiation.
• Sound business judgment combined with legal risk assessment skills.
• Excellent communication skills and ability to present at executive levels.
• Capacity to independently manage multiple priorities and deadlines.
• Proven collaboration skills across cross-functional and international teams.
