Job description
Overview
This leadership role heads the governance and compliance activities across Golf Saudi, its Clubs, and subsidiaries. The Executive Director develops and manages governance frameworks, compliance policies, and regulatory adherence programs, ensuring strict alignment with legal, regulatory, and ethical standards. The position supports board and committee governance, leads compliance risk management, oversees anti-money laundering (AML), fraud prevention, whistleblowing, investigations, contractual compliance, and fosters organizational transparency and accountability.
Primary Responsibilities
- Develop and execute governance and compliance strategies aligned with Golf Saudi's goals and applicable regulations.
- Create and update corporate governance policies, procedures, delegation protocols, and decision-making frameworks to maintain accountability and transparency.
- Maintain an enterprise-wide compliance architecture including regulatory obligations, compliance risk evaluation, AML, fraud detection, contractual compliance, and internal control systems.
- Manage governance processes for boards and committees, including agenda planning, recordkeeping, resolutions, and regulatory filings.
- Ensure reliable corporate secretarial services for board meetings, committee gatherings, shareholder communications, and governance approvals.
- Implement and monitor conflict of interest policies, ethical codes, whistleblowing channels, confidentiality safeguards, and escalation mechanisms throughout the organization.
- Oversee governance and compliance audits, assessments, maturity evaluations, and investigations, establishing standards and reviewing outcomes to ensure accountability.
- Collaborate with Legal, Risk Management, and Executive Leadership to address governance, contractual, regulatory, and operational compliance risks.
- Plan and manage annual governance and compliance objectives, budget allocation, resource deployment, KPIs, and monitoring efforts across all entities.
- Engage with regulatory bodies, management committees, auditors, and internal teams to guarantee governance and compliance harmonization.
- Remain informed on regulatory updates and corporate governance innovations, advising senior management on necessary improvements and practices.
- Lead training, communications, and awareness programs to embed governance, compliance, and ethical principles within the workforce.
- Supervise and mentor the governance and compliance team to improve skills, enforce performance standards, and foster ongoing development.
Required Qualifications
- A bachelor's degree in Law, Compliance, Corporate Governance, Risk Management, Business Administration, or related disciplines is mandatory. Preference given to master’s degrees or professional certifications in governance, compliance, AML, or risk management.
- At least 10 years of experience in corporate governance, compliance, or regulatory risk, including minimum 5 years in senior management or executive leadership roles.
- Demonstrated expertise leading board governance, compliance frameworks, investigations, AML, anti-fraud, whistleblowing, and contractual compliance programs.
Technical Expertise
- Proficient in designing and implementing corporate governance frameworks and board-level procedures.
- Skilled in regulatory compliance, compliance risk assessment, AML and anti-fraud operations.
- Experience with policies and procedures management, contractual compliance evaluation, internal audit supervision, and reporting controls.
- Strong capacity for stakeholder and regulatory relationship management.
