Job description
Role Overview
We are seeking a Company Secretary / Governance expert to join a leading international investment and financial services firm located in Dublin. This position is part of the EMEA Board Governance team and entails collaboration with Boards, Committees, and senior leadership in a strictly regulated setting.
Primary Responsibilities
- Organize and oversee Board and Committee meetings, including managing scheduling and annual agenda planning.
- Develop, review, and disseminate meeting agendas and relevant Board documents.
- Record precise and succinct minutes and follow up on action points.
- Maintain statutory documents, governance records, and internal registers.
- Update governance policies, terms of reference, and delegated authorities as required.
- Provide governance advice and assistance to directors and senior leaders.
- Support regulatory inquiries, due diligence, and AML/KYC processes.
- Foster productive relationships with internal teams and external service providers.
- Identify and implement improvements to governance procedures and controls.
Candidate Profile
- Qualified or partly qualified Company Secretary preferred.
- Relevant governance or company secretarial experience in regulated financial services.
- Proven background in supporting Boards and Committees.
- Familiarity with funds, asset management, or regulated investment entities is advantageous.
- Solid knowledge of corporate governance standards and Board operations.
- Exceptional written communication and minute-taking capabilities.
- Highly organized, detail-oriented with effective time management skills.
- Strong relationship management skills engaging with senior executives and directors.
- Experience with governance management tools and board portal platforms is beneficial.
