Job description
Role Overview
This position is for a highly professional, detail-focused Board Secretary who will support the Board of Directors and its committees. The role ensures board processes run smoothly, governance requirements are followed, and all official documentation is handled in an organized and compliant manner.
Key Responsibilities
- Draft, finalize, and securely maintain minutes for board and committee meetings while preserving confidentiality and accuracy.
- Manage the filing and upkeep of official board records, reports, and supporting documentation.
- Circulate agendas, reports, and other meeting materials to board members within the required timelines.
- Monitor adherence to approved governance procedures and board charters.
- Plan and coordinate the annual calendar for board and committee meetings in line with governance expectations.
- Share draft minutes with members for review and incorporate feedback before final approval.
- Serve as a liaison between board members and committees, providing coordination support wherever needed.
- Track board resolutions and prepare regular status updates on implementation progress.
- Assist in knowledge transfer and provide guidance to junior staff when necessary.
Requirements
- A bachelor’s degree in Business Administration, Law, Corporate Governance, Social Sciences, or a closely related discipline.
- At least 4 years of experience in governance, board secretariat, compliance, or a comparable function.
- Solid knowledge of board and committee workflows and processes.
- Strong professional judgment, discretion, and conduct.
- Excellent spoken and written communication skills in both Arabic and English.
