Job description
M&A and Investments
This role covers a broad mix of strategic transactions and corporate change work, including company amalgamations and arrangements, divestments, acquisitions, restructuring transactions, business transfer agreements, asset sale deals, and matters under the Insolvency and Bankruptcy Code. It also involves ensuring compliance with corporate governance standards and SEBI / stock exchange obligations, along with carrying out due diligence assignments.
Contracts
The position requires hands-on work with a wide range of legal documents, such as contracts, agreements, tenders, NDAs, master service agreements, share purchase agreements, joint venture agreements, definitive agreements, concession agreements, writ petitions, plaints, and similar instruments. Drafting, reviewing, and negotiation are key parts of the job.
General Corporate Advisory
The selected candidate should be able to provide clear legal opinions across a wide set of issues, with strong working knowledge of the Companies Act, SEBI regulations, FEMA, labour laws, GST and other taxation matters, environmental law, the Electricity Act, the Transfer of Property Act, the Stamp Act, and the Registration Act.
Training and Knowledge Sharing
The role includes contributing to internal learning by supporting training sessions and sharing legal knowledge with colleagues.
Customer Relationship
The candidate is expected to maintain strong professional relationships with colleagues and also have established rapport with leading legal professionals, including senior advocates, the Attorney General, Solicitor General, Additional Solicitor General, Advocate General, former judges of High Courts and the Supreme Court, and prominent Indian and international law firms.
Digitization and Artificial Intelligence
Basic familiarity with digital tools and artificial intelligence is expected.
